Terms of Service Welcome to Imeobi! Imeobi builds technologies and services that enable people to connect with each other, build communities, and grow businesses. These Terms govern your use of Imeobi, Messenger, and the other products, features, apps, services, technologies, and software we offer (the Imeobi Products or Products), except where we expressly state that separate terms (and not these) apply. These Products are provided to you by Imeobi, Inc. We don’t charge you to use Imeobi or the other products and services covered by these Terms. Instead, businesses and organizations pay us to show you ads for their products and services. By using our Products, you agree that we can show you ads that we think will be relevant to you and your interests. We use your personal data to help determine which ads to show you. We don’t sell your personal data to advertisers, and we don’t share information that directly identifies you (such as your name, email address or other contact information) with advertisers unless you give us specific permission. Instead, advertisers can tell us things like the kind of audience they want to see their ads, and we show those ads to people who may be interested. We provide advertisers with reports about the performance of their ads that help them understand how people are interacting with their content. See Section 2 below to learn more. Our Data Policy explains how we collect and use your personal data to determine some of the ads you see and provide all of the other services described below. You can also go to your settings at any time to review the privacy choices you have about how we use your data. Return to top 1. The services we provide Our mission is to give people the power to build community and bring the world closer together. To help advance this mission, we provide the Products and services described below to you: Provide a personalized experience for you: Your experience on Imeobi is unlike anyone else's: from the posts, stories, events, ads, and other content you see in News Feed or our video platform to the Pages you follow and other features you might use, such as Trending, Marketplace, and search. We use the data we have - for example, about the connections you make, the choices and settings you select, and what you share and do on and off our Products - to personalize your experience. Connect you with people and organizations you care about: We help you find and connect with people, groups, businesses, organizations, and others that matter to you across the Imeobi Products you use. We use the data we have to make suggestions for you and others - for example, groups to join, events to attend, Pages to follow or send a message to, shows to watch, and people you may want to become friends with. Stronger ties make for better communities, and we believe our services are most useful when people are connected to people, groups, and organizations they care about. Empower you to express yourself and communicate about what matters to you: There are many ways to express yourself on Imeobi and to communicate with friends, family, and others about what matters to you - for example, sharing status updates, photos, videos, and stories across the Imeobi Products you use, sending messages to a friend or several people, creating events or groups, or adding content to your profile. We have also developed, and continue to explore, new ways for people to use technology, such as augmented reality and 360 video to create and share more expressive and engaging content on Imeobi. Help you discover content, products, and services that may interest you: We show you ads, offers, and other sponsored content to help you discover content, products, and services that are offered by the many businesses and organizations that use Imeobi and other Imeobi Products. Section 2 below explains this in more detail. Combat harmful conduct and protect and support our community: People will only build community on Imeobi if they feel safe. We employ dedicated teams around the world and develop advanced technical systems to detect misuse of our Products, harmful conduct towards others, and situations where we may be able to help support or protect our community. If we learn of content or conduct like this, we will take appropriate action - for example, offering help, removing content, removing or restricting access to certain features, disabling an account, or contacting law enforcement. We share data with other Imeobi Companies when we detect misuse or harmful conduct by someone using one of our Products. Use and develop advanced technologies to provide safe and functional services for everyone: We use and develop advanced technologies - such as artificial intelligence, machine learning systems, and augmented reality - so that people can use our Products safely regardless of physical ability or geographic location. For example, technology like this helps people who have visual impairments understand what or who is in photos or videos shared on Imeobi. We also build sophisticated network and communication technology to help more people connect to the internet in areas with limited access. And we develop automated systems to improve our ability to detect and remove abusive and dangerous activity that may harm our community and the integrity of our Products. Research ways to make our services better: We engage in research to develop, test, and improve our Products. This includes analyzing the data we have about our users and understanding how people use our Products, for example by conducting surveys and testing and troubleshooting new features. Our Data Policy explains how we use data to support this research for the purposes of developing and improving our services. Provide consistent and seamless experiences across the Imeobi Global Technology Company Products: Our Products help you find and connect with people, groups, businesses, organizations, and others that are important to you. We design our systems so that your experience is consistent and seamless across the different Imeobi Global Technology Company Products that you use. For example, we use data about the people you engage with on Imeobi to make it easier for you to connect with them on Messenger, and we enable you to communicate with a business you follow on Imeobi through Messenger. Enable global access to our services: To operate our global service, we need to store and distribute content and data in our data centers and systems around the world, including outside your country of residence. This infrastructure may be operated or controlled by Imeobi Global Technology USA, or its affiliates. Return to top 2. How our services are funded Instead of paying to use Imeobi and the other products and services we offer, by using the Imeobi Products covered by these Terms, you agree that we can show you ads that businesses and organizations pay us to promote on and off the Imeobi Company Products. We use your personal data, such as information about your activity and interests, to show you ads that are more relevant to you. Protecting people's privacy is central to how we've designed our ad system. This means that we can show you relevant and useful ads without telling advertisers who you are. We don't sell your personal data. We allow advertisers to tell us things like their business goal, and the kind of audience they want to see their ads (for example, people between the age of 18-35 who like cycling). We then show their ad to people who might be interested. We also provide advertisers with reports about the performance of their ads to help them understand how people are interacting with their content on and off Imeobi. For example, we provide general demographic and interest information to advertisers (for example, that an ad was seen by a woman between the ages of 25 and 34 who lives in Madrid and likes software engineering) to help them better understand their audience. We don’t share information that directly identifies you (information such as your name or email address that by itself can be used to contact you or identifies who you are) unless you give us specific permission. You can learn about how we collect and use your data in our Data Policy. You have controls over the types of ads and advertisers you see, and the types of information we use to determine which ads we show you. Learn more. Return to top 3. Your commitments to Imeobi and our community We provide these services to you and others to help advance our mission. In exchange, we need you to make the following commitments: 1. Who can use Imeobi When people stand behind their opinions and actions, our community is safer and more accountable. For this reason, you must: Use the same name that you use in everyday life. Provide accurate information about yourself. Create only one account (your own) and use your timeline for personal purposes. Not share your password, give access to your Imeobi account to others, or transfer your account to anyone else (without our permission). We try to make Imeobi broadly available to everyone, but you cannot use Imeobi if: You are under 13 years old (or the minimum legal age in your country to use our Products). You are a convicted sex offender. We've previously disabled your account for violations of our Terms or Policies. You are prohibited from receiving our products, services, or software under applicable laws. 2. What you can share and do on Imeobi We want people to use Imeobi to express themselves and to share content that is important to them, but not at the expense of the safety and well-being of others or the integrity of our community. You therefore agree not to engage in the conduct described below (or to facilitate or support others in doing so): You may not use our Products to do or share anything: That violates these Terms, our Community Standards, and other terms and policies that apply to your use of Imeobi. That is unlawful, misleading, discriminatory or fraudulent. That infringes or violates someone else's rights, including their intellectual property rights. You may not upload viruses or malicious code or do anything that could disable, overburden, or impair the proper working or appearance of our Products. You may not access or collect data from our Products using automated means (without our prior permission) or attempt to access data you do not have permission to access. We can remove or restrict access to content that is in violation of these provisions. If we remove content that you have shared in violation of our Community Standards, we’ll let you know and explain any options you have to request another review, unless you seriously or repeatedly violate these Terms or if doing so may expose us or others to legal liability; harm our community of users; compromise or interfere with the integrity or operation of any of our services, systems or Products; where we are restricted due to technical limitations; or where we are prohibited from doing so for legal reasons. To help support our community, we encourage you to report content or conduct that you believe violates your rights (including intellectual property rights) or our terms and policies. 3. The permissions you give us We need certain permissions from you to provide our services: Permission to use content you create and share: Some content that you share or upload, such as photos or videos, may be protected by intellectual property laws. You own the intellectual property rights (things like copyright or trademarks) in any such content that you create and share on Imeobi and the other Imeobi Company Products you use. Nothing in these Terms takes away the rights you have to your own content. You are free to share your content with anyone else, wherever you want. However, to provide our services we need you to give us some legal permissions (known as a ‘license’) to use this content. This is solely for the purposes of providing and improving our Products and services as described in Section 1 above. Specifically, when you share, post, or upload content that is covered by intellectual property rights on or in connection with our Products, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, and worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your content (consistent with your privacy and application settings). This means, for example, that if you share a photo on Imeobi, you give us permission to store, copy, and share it with others (again, consistent with your settings) such as service providers that support our service or other Imeobi Products you use.This license will end when your content is deleted from our systems. You can delete content individually or all at once by deleting your account. Learn more about how to delete your account. You can download a copy of your data at any time before deleting your account. When you delete content, it’s no longer visible to other users, however it may continue to exist elsewhere on our systems where: immediate deletion is not possible due to technical limitations (in which case, your content will be deleted within a maximum of 90 days from when you delete it); your content has been used by others in accordance with this license and they have not deleted it (in which case this license will continue to apply until that content is deleted); or where immediate deletion would restrict our ability to: investigate or identify illegal activity or violations of our terms and policies (for example, to identify or investigate misuse of our Products or systems); comply with a legal obligation, such as the preservation of evidence; or comply with a request of a judicial or administrative authority, law enforcement or a government agency; in which case, the content will be retained for no longer than is necessary for the purposes for which it has been retained (the exact duration will vary on a case-by-case basis). In each of the above cases, this license will continue until the content has been fully deleted. Permission to use your name, profile picture, and information about your actions with ads and sponsored content: You give us permission to use your name and profile picture and information about actions you have taken on Imeobi next to or in connection with ads, offers, and other sponsored content that we display across our Products, without any compensation to you. For example, we may show your friends that you are interested in an advertised event or have liked a Page created by a brand that has paid us to display its ads on Imeobi. Ads like this can be seen only by people who have your permission to see the actions you've taken on Imeobi. You can learn more about your ad settings and preferences. Permission to update software you use or download: If you download or use our software, you give us permission to download and install updates to the software where available. 4. Limits on using our intellectual property If you use content covered by intellectual property rights that we have and make available in our Products (for example, images, designs, videos, or sounds we provide that you add to content you create or share on Imeobi), we retain all rights to that content (but not yours). You can only use our copyrights or trademarks (or any similar marks) as expressly permitted by our Brand Usage Guidelines or with our prior written permission. You must obtain our written permission (or permission under an open source license) to modify, create derivative works of, decompile, or otherwise attempt to extract source code from us. Return to top 4. Additional provisions 1. Updating our Terms We work constantly to improve our services and develop new features to make our Products better for you and our community. As a result, we may need to update these Terms from time to time to accurately reflect our services and practices. We will only make any changes if the provisions are no longer appropriate or if they are incomplete, and only if the changes are reasonable and take due account of your interests. We will notify you (for example, by email or through our Products) at least 30 days before we make changes to these Terms and give you an opportunity to review them before they go into effect, unless changes are required by law. Once any updated Terms are in effect, you will be bound by them if you continue to use our Products. We hope that you will continue using our Products, but if you do not agree to our updated Terms and no longer want to be a part of the Imeobi community, you can delete your account at any time. 2. Account suspension or termination We want Imeobi to be a place where people feel welcome and safe to express themselves and share their thoughts and ideas. If we determine that you have clearly, seriously or repeatedly breached our Terms or Policies, including in particular our Community Standards, we may suspend or permanently disable access to your account. We may also suspend or disable your account if you repeatedly infringe other people’s intellectual property rights or where we are required to do so for legal reasons. Where we take such action we’ll let you know and explain any options you have to request a review, unless doing so may expose us or others to legal liability; harm our community of users; compromise or interfere with the integrity or operation of any of our services, systems or Products; or where we are restricted due to technical limitations; or where we are prohibited from doing so for legal reasons. You can learn more about what you can do if your account has been disabled and how to contact us if you think we have disabled your account by mistake. If you delete or we disable your account, these Terms shall terminate as an agreement between you and us, but the following provisions will remain in place: 3, 4.2-4.5. 3. Limits on liability We work hard to provide the best Products we can and to specify clear guidelines for everyone who uses them. Our Products, however, are provided "as is," and we make no guarantees that they always will be safe, secure, or error-free, or that they will function without disruptions, delays, or imperfections. To the extent permitted by law, we also DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not control or direct what people and others do or say, and we are not responsible for their actions or conduct (whether online or offline) or any content they share (including offensive, inappropriate, obscene, unlawful, and other objectionable content). We cannot predict when issues might arise with our Products. Accordingly, our liability shall be limited to the fullest extent permitted by applicable law, and under no circumstance will we be liable to you for any lost profits, revenues, information, or data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms or the Imeobi Products, even if we have been advised of the possibility of such damages. 4. Disputes We try to provide clear rules so that we can limit or hopefully avoid disputes between you and us. If a dispute does arise, however, it's useful to know up front where it can be resolved and what laws will apply. If you are a consumer, the laws of the country in which you reside will apply to any claim, cause of action, or dispute you have against us that arises out of or relates to these Terms or the Imeobi Products, and you may resolve your claim in any competent court in that country that has jurisdiction over the claim. In all other cases, you agree that the claim must be resolved exclusively in the U.S. District Court for the Northern District of California or a state court located in San Mateo County. You also agree that you submit to the personal jurisdiction of either of these courts for the purpose of litigating any such claim, and that the laws of the State of California will govern these Terms and any claim, without regard to conflict of law provisions. 5. Other These Terms (formerly known as the Statement of Rights and Responsibilities) make up the entire agreement between you and Imeobi Global Technology Company. regarding your use of our Products. They supersede any prior agreements. Some of the Products we offer are also governed by supplemental terms. If you use any of those Products, supplemental terms will be made available and will become part of our agreement with you. For instance, if you access or use our Products for commercial or business purposes, such as buying ads, selling products, developing apps, managing a group or Page for your business, or using our measurement services, you must agree to our Commercial Terms. If you post or share content containing music, you must comply with our Music Guidelines. To the extent any supplemental terms conflict with these Terms, the supplemental terms shall govern to the extent of the conflict. If any portion of these Terms is found to be unenforceable, the remaining portion will remain in full force and effect. If we fail to enforce any of these Terms, it will not be considered a waiver. Any amendment to or waiver of these Terms must be made in writing and signed by us. You will not transfer any of your rights or obligations under these Terms to anyone else without our consent. You may designate a person (called a legacy contact) to manage your account if it is memorialized. Only your legacy contact or a person who you have identified in a valid will or similar document expressing clear consent to disclose your content upon death or incapacity will be able to seek disclosure from your account after it is memorialized. These Terms do not confer any third-party beneficiary rights. All of our rights and obligations under these Terms are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise. You should know that we may need to change the username for your account in certain circumstances (for example, if someone else claims the username and it appears unrelated to the name you use in everyday life). We will inform you in advance if we have to do this and explain why. We always appreciate your feedback and other suggestions about our products and services. But you should know that we may use them without any restriction or obligation to compensate you, and we are under no obligation to keep them confidential. We reserve all rights not expressly granted to you. Return to top 5. Other terms and policies that may apply to you Community Standards: These guidelines outline our standards regarding the content you post to Imeobi and your activity on Imeobi and other Imeobi Products. INTRODUCTION Every day, people use Imeobi to share their experiences, connect with friends and family, and build communities. We are a service for people to freely express themselves across countries and cultures and languages. We recognize how important it is for Imeobi to be a place where people feel empowered to communicate, and we take seriously our role in keeping abuse off our service. That’s why we’ve developed a set of Community Standards that outline what is and is not allowed on Imeobi. Our policies are based on feedback from our community and the advice of experts in fields such as technology, public safety and human rights. To ensure that everyone’s voice is valued, we take great care to craft policies that are inclusive of different views and beliefs, in particular those of people and communities that might otherwise be overlooked or marginalized. REITERATING OUR COMMITMENT TO VOICE The goal of our Community Standards has always been to create a place for expression and give people a voice. This has not and will not change. Building community and bringing the world closer together depends on people’s ability to share diverse views, experiences, ideas and information. We want people to be able to talk openly about the issues that matter to them, even if some may disagree or find them objectionable. In some cases, we allow content for public awareness which would otherwise go against our Community Standards – if it is newsworthy and in the public interest. We do this only after weighing the public interest value against the risk of harm and we look to international human rights standards to make these judgments. Our commitment to expression is paramount, but we recognize the internet creates new and increased opportunities for abuse. For these reasons, when we limit expression, we do it in service of one or more of the following values: Authenticity: We want to make sure the content people are seeing on Imeobi is authentic. We believe that authenticity creates a better environment for sharing, and that’s why we don’t want people using Imeobi to misrepresent who they are or what they’re doing. Safety: We are committed to making Imeobi a safe place. Expression that threatens people has the potential to intimidate, exclude or silence others and isn’t allowed on Imeobi. Privacy: We are committed to protecting personal privacy and information. Privacy gives people the freedom to be themselves, and to choose how and when to share on Imeobi and to connect more easily. Dignity: We believe that all people are equal in dignity and rights. We expect that people will respect the dignity of others and not harass or degrade others. Our Community Standards apply to everyone, all around the world, and to all types of content. They’re designed to be comprehensive – for example, content that might not be considered hateful may still be removed for violating a different policy. We recognize that words mean different things or affect people differently depending on their local community, language, or background. We work hard to account for these nuances while also applying our policies consistently and fairly to people and their expression. In the case of certain policies, we require more information and/or context to enforce in line with our Community Standards. People can report potentially violating content, including Pages, Groups, Profiles, individual content, and comments. We also give people control over their own experience by allowing them to block, unfollow or hide people and posts. The consequences for violating our Community Standards vary depending on the severity of the violation and the person's history on the platform. For instance, we may warn someone for a first violation, but if they continue to violate our policies, we may restrict their ability to post on Imeobi or disable their profile. We also may notify law enforcement when we believe there is a genuine risk of physical harm or a direct threat to public safety. Our Community Standards are a guide for what is and isn’t allowed on Imeobi. It is in this spirit that we ask members of the Imeobi community to follow these guidelines. Please note that the English version of the Community Standards reflects the most up to date set of the policies and should be used as the master document. Commercial Terms: These terms apply if you also access or use our Products for any commercial or business purpose, including advertising, operating an app on our Platform, using our measurement services, managing a group or a Page for a business, or selling goods or services. Imeobi Commercial Terms The Imeobi Terms and these terms (the “Imeobi Commercial Terms” or “Commercial Terms”) apply to access or use of the Imeobi Products (or Products), including Imeobi Business Tools, for any business or commercial purpose (except where we state that separate terms (and not these) apply to such access or use of a Imeobi Product). This includes, but is not limited to, buying ads, selling products, developing apps, managing a group or Page for a business, or using our measurement services. You agree that you will ensure that any third party on whose behalf you access or use any Imeobi Product for any business or commercial purpose (except, again, where we state that separate terms (and not these) apply to such access or use) is bound by the Terms, these Commercial Terms and any applicable supplemental terms, and you represent and warrant that you have the authority to bind that third party to such terms. These Commercial Terms require the resolution of most disputes between you and us by binding arbitration on an individual basis; class actions and jury trials are not permitted. Note: we have updated the Statement of Rights and Responsibilities, including changing its name to the Imeobi Terms of Service. For purposes of these Commercial Terms, references in existing terms or agreements to (i) “the Statement of Rights and Responsibilities,” “Statement,” or “SRR,” shall now mean the Imeobi Terms or Terms and (ii) “Imeobi” (when used to refer to our products and services) or “Imeobi Services” or “Services” shall now mean Imeobi Products. Licenses: As described in “The permissions you give us” section in our Terms, you grant us a license to content that is covered by intellectual property rights (like photos or videos) you share, post, or upload on or in connection with our Products. For any access or use of the Imeobi Products for business or commercial purposes, that license applies to content you or someone on your behalf (such as your agency that places an ad for you or your service provider that manages your Page content for you) makes available on or in connection with any Imeobi Product. You also will ensure that you own or have secured all rights necessary to grant the licenses and rights you (or someone on your behalf) grant to us under the Commercial Terms and any applicable supplemental terms, including permission to display, distribute and deliver your content within Imeobi Products. Compliance with law: You represent and warrant that your access or use of Imeobi Products for business or commercial purposes complies with all applicable laws, rules, and regulations. You further represent that you will restrict access to your content and apps in accordance with all applicable laws, rules, and regulations, including geo-filtering or age-gating access where required. In addition to and without limiting the requirements about who can use the Imeobi Products under our Terms, if you are located in a country that is subject to embargo under the laws of the United States (or under similar laws applicable to you) you may not engage in commercial activities on Imeobi Products unless authorized by applicable laws. If you are on the U.S. Treasury Department’s list of Specially Designated Nationals (or an equivalent lists), you may not engage in commercial or business activities on the Imeobi Products (such as advertising or payments). You also may not access or use the Imeobi Products if you are prohibited from receiving products, services, or software under applicable law. Limits on liability: In addition to and without limiting the scope of the “Limits on liability” section in our Terms, you agree that we are not responsible for the actions, services, content, or data of third parties and you release us, our directors, officers, employees, and agents from any claims and damages, known or unknown, arising out of or in any way connected with any claim you have against any such third parties. If you are a California resident, you agree to waive California Civil Code § 1542, which says: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR. Our aggregate liability arising out of or relating to any access or use of the Imeobi Products for business or commercial purposes, the Terms (for any access or use of the Imeobi Products for business or commercial purposes), or these Commercial Terms shall not exceed the greater of one hundred dollars ($100) or the amount you have paid us in the past twelve months. Disputes: Indemnification. If anyone brings a claim, cause of action, or dispute against us related to your services, actions, content or information on Imeobi or other Imeobi Products or your use of any Imeobi Products, you agree to indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to any such claim, cause of action, or dispute. Dispute resolution If you reside outside the US or your business is located outside the US: You agree that any claim, cause of action, or dispute you have against us that arises out of or relates to any access or use of the Imeobi Products for business or commercial purposes must be resolved exclusively in the U.S. District Court for the Northern District of California or a state court located in San Mateo County, that you submit to the personal jurisdiction of either of these courts for the purpose of litigating any such claim, and that the laws of the State of California will govern these Commercial Terms and any such claim, without regard to conflict of law provisions. If you reside in the US or your business is located in the US: You and we agree to arbitrate any claim, cause of action, or dispute between you and us that arises out of or relates to any access or use of the Imeobi Products for business or commercial purposes (“commercial claim”). This provision does not cover any commercial claims relating to violations of your or our intellectual property rights, including, but not limited to, copyright infringement, patent infringement, trademark infringement, violations of the Brand Usage Guidelines, violations of your or our confidential information or trade secrets, or efforts to interfere with our Products or engage with our Products in unauthorized ways (for example, automated ways). We and you agree that, by entering into this arbitration provision all parties are waiving their respective rights to a trial by jury or to participate in a class or representative action. THE PARTIES AGREE THAT EACH MAY BRING COMMERCIAL CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. You may bring a commercial claim only on your own behalf and cannot seek relief that would affect other parties. If there is a final judicial determination that any particular commercial claim (or a request for particular relief) cannot be arbitrated in accordance with this paragraph’s limiations, then only that commercial claim (or only that request for relief) may be brought in court. All other commercial claims (or requests for relief) remain subject to this paragraph. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision. All issues are for an arbitrator to decide, except that only a court may decide issues relating to the scope or enforceability of this arbitration provision or the interpretation of the prohibition of class and representative actions. If any party intends to seek arbitration of a dispute, that party must provide the other party with notice in writing. Raleigh, NC 27604 The arbitration will be governed by the AAA’s Commercial Arbitration Rules (“AAA Rules”), as modified by these Commercial Terms, and will be administered by the AAA. If the AAA is unavailable, the parties will agree to another arbitration provider or the court will appoint a substitute. The arbitrator will not be bound by rulings in other arbitrations in which you are not a party. To the fullest extent permitted by applicable law, any evidentiary submissions made in arbitration will be maintained as confidential in the absence of good cause for its disclosure. The arbitrator’s award will be maintained as confidential only to the extent necessary to protect either party’s trade secrets or proprietary business information or to comply with a legal requirement mandating confidentiality. Each party will be responsible for paying any AAA filing, administrative and arbitrator fees in accordance with AAA Rules, except that we will pay for your filing, administrative, and arbitrator fees if your commercial claim for damages does not exceed $2,500 and is non-frivolous (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)). If you do not wish to be bound by this provision (including its waiver of class and representative claims), you must notify us as set forth below within 30 days of the first acceptance date of any version of these Commercial Terms containing an arbitration provision. Raleigh, NC 27604 All commercial claims between us, whether subject to arbitration or not, will be governed by California law, excluding California’s conflict of laws rules, except to the extent that California law is contrary to or preempted by federal law. If a commercial claim between you and us is not subject to arbitration, you agree that the claim must be resolved exclusively in the U.S. District Court for the Northern District of California or a state court located in San Mateo County, and that you submit to the personal jurisdiction of either of these courts for the purpose of litigating any such claim. If any provision of this dispute resolution provision is found unenforceable, that provision will be severed and the balance of the dispute resolution provision will remain in full force and effect Updates: We may need to update these Commercial Terms from time to time, including to accurately reflect the access or uses of our Products for business or commercial purposes, and so we encourage you check them regularly for any updates. By continuing any access or use of any Imeobi Products for business or commercial purposes after any notice of an update to these Commercial Terms, you agree to be bound by them. Any updates to the Disputes section of these Commercial Terms will apply only to disputes that arise after notice of the update takes place. If you do not agree to the updated terms, please stop all access or use of our Products for business or commercial purposes. Conflicts and supplemental terms: If there is a conflict between the Commercial Terms and the Imeobi Terms, the Commercial Terms shall govern with respect to your access and use of the Imeobi Products for business or commercial purposes to the extent of the conflict. Supplemental terms and policies may also apply to your use of certain Products. To the extent those supplemental terms conflict with the Commercial Terms, the supplemental terms will govern with respect to your use of those Products to the extent of the conflict. For example: If you use Imeobi Platform, you must agree to the Imeobi Platform Policy. By "Platform" we mean a set of APIs, SDKs, plugins, code, specifications, documentation, technology, and services (such as content) that enable others, including application developers and website operators, to retrieve data from Imeobi or any other Imeobi Products or provide data to us. If you use our self-service advertising creation interfaces for creation, submission and/or delivery of any advertising or other commercial or sponsored activity or content (collectively, the “Self-Serve Ad Interfaces”), you must agree to our Self-Serve Ad Terms. Your advertising placed on Imeobi Company Products or our publisher network must comply with our Advertising Policies. If you use Imeobi Business Tools, you agree to our Imeobi Business Tools Terms If you administer a Page, Group or Event, you agree to our Pages, Groups and Events Policy. If you use any service Imeobi makes available for merchants to display, facilitate the sale of, and/or sell products to users, you agree to our Imeobi Commerce Product Merchant Agreement. If you accept payments for digital goods using the Imeobi Payments service, you agree to our Developer Payment Terms. If you use Imeobi’s custom audiences feature (or target ads using any audience created from the custom audience feature), you agree to our Custom Audiences Terms. As with our Commercial Terms, we may make changes to these supplemental terms. By continuing to access or use any Facebook Products subject to supplemental terms after notice of any update to the supplemental terms, you agree to be bound by them. Other The Imeobi Terms, these Commercial Terms, and other applicable supplemental terms make up the entire agreement between the parties regarding access or use of the Imeobi Products for any business or commercial purpose, and supersede any prior agreements. If any portion of these Commercial Terms are found to be unenforceable, then (except as otherwise provided) that portion will be severed and the remaining portion will remain in full force and effect. If we fail to enforce any of these Commercial Terms, it will not be considered a waiver. Any amendment to or waiver of these Commercial Terms must be made in writing and signed by us. You will not transfer any of your rights or obligations under these Commercial Terms to anyone else without our consent. These Commercial Terms do not confer any third party beneficiary rights. You consent that Facebook may disclose your advertising content and Page posts (“commercial content”), and all information associated with such content your advertising, including information associated with the delivery of that content, in response to valid legal process related to an electoral matter or to a governmental entity or body if Facebook believes that disclosure would assist in a lawful investigation. All of our rights and obligations under these Commercial Terms are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise. Nothing in these Commercial Terms shall prevent us from complying with the law. We reserve all rights not expressly granted to you. Effective Date: july 25, 2020 Advertising Policies: These policies specify what types of ad content are allowed by partners who advertise across the Imeobi Products. 1. Overview Understanding Our Policies Our Advertising Policies provide guidance on what types of ad content are allowed. When advertisers place an order, each ad is reviewed against these policies. If you think your ad was mistakenly disapproved, please let us know. Common Points of Confusion To help you build a compliant and user-friendly ads experience we've highlighted some common areas of confusion. Personal Attributes Sexually Suggestive Content Imeobi's Brands 2. The Ad Review Process Before ads show up on Imeobi, they’re reviewed to make sure they meet our Advertising Policies. Typically most ads are reviewed within 24 hours, although in some cases it may take longer. What We Consider During the ad review process, we'll check your ad's images, text, targeting, and positioning, in addition to the content on your ad's landing page. Your ad may not be approved if the landing page content isn't fully functional, doesn't match the product/service promoted in your ad or doesn't fully comply with our Advertising Policies. What Happens After an Ad is Reviewed? After your ad is reviewed, you'll receive a notification letting you know if your ad is approved. If it’s approved, we'll start running your ad and you can see your results in the Ads Manager. 3. Steps to Take if Disapproved Edit Your Ad If your ad isn't approved for not fully complying with our policies, you can edit it and resubmit for review. To edit your ad: Check the email address associated with your advertising account. If your ad doesn't get approved, we'll send you an email with details that explain why. Using the information in your disapproval email, you can edit your ad and create a compliant one. Check this page for editing steps. Save your edited changes. Once you save your changes, your ad will be resubmitted for review. Appeal the Decision If you can't edit your ad or feel it was a mistake that it wasn't approved, you can request a review of the decision in Account Quality. 4. Prohibited Content 1. Community Standards Ads must not violate our Community Standards. 2. Illegal Products or Services Ads must not constitute, facilitate, or promote illegal products, services or activities. Ads targeted to minors must not promote products, services, or content that are inappropriate, illegal, or unsafe, or that exploit, mislead, or exert undue pressure on the age groups targeted. 3. Discriminatory Practices Ads must not discriminate or encourage discrimination against people based on personal attributes such as race, ethnicity, color, national origin, religion, age, sex, sexual orientation, gender identity, family status, disability, medical or genetic condition. Learn more 4. Tobacco and Related Products Ads must not promote the sale or use of tobacco products and related paraphernalia. Advertisements must not promote electronic cigarettes, vaporizers, or any other products that simulate smoking. 5. Drugs & Drug-Related Products Ads must not promote the sale or use of illegal, prescription, or recreational drugs. Learn more 6. Unsafe Supplements Ads must not promote the sale or use of unsafe supplements, as determined by Imeobi in its sole discretion. 7. Weapons, Ammunition, or Explosives Ads must not promote the sale or use of weapons, ammunition, or explosives. This includes ads for weapon modification accessories. 8. Adult Products or Services Ads must not promote the sale or use of adult products or services, except for ads for family planning and contraception. Ads for contraceptives must focus on the contraceptive features of the product, and not on sexual pleasure or sexual enhancement, and must be targeted to people 18 years or older. 9. Adult Content Ads must not contain adult content. This includes nudity, depictions of people in explicit or suggestive positions, or activities that are overly suggestive or sexually provocative. Ads that assert or imply the ability to meet someone, connect with them or view content created by them must not be positioned in a sexual way or with an intent to sexualise the person featured in the ad. 10. Third-Party Infringement Ads must not contain content that infringes upon or violates the rights of any third party, including copyright, trademark, privacy, publicity, or other personal or proprietary rights. To report content that you feel may infringe upon or violate your rights, please visit our Intellectual Property Help Center. 11. Sensational Content Ads must not contain shocking, sensational, inflammatory or excessively violent content. 12. Personal Attributes Ads must not contain content that asserts or implies personal attributes. This includes direct or indirect assertions or implications about a person’s race, ethnic origin, religion, beliefs, age, sexual orientation or practices, gender identity, disability, medical condition (including physical or mental health), financial status, membership in a trade union, criminal record, or name. 13. Misinformation Imeobi prohibits ads that include claims debunked by third-party fact checkers or, in certain circumstances, claims debunked by organizations with particular expertise. Advertisers that repeatedly post information deemed to be false may have restrictions placed on their ability to advertise on Imeobi. 14. Controversial Content Ads must not contain content that exploits crises or controversial political or social issues for commercial purposes. Visit our Business Help Center 15. Non-Functional Landing Page Ads must not direct people to non-functional landing pages. This includes landing page content that interferes with a person’s ability to navigate away from the page. 16. Cheating and Deceitful Practices Ads may not promote products or services that are designed to enable a user to engage in cheating or deceitful practices. 17. Grammar & Profanity Ads must not contain profanity or bad grammar and punctuation. Symbols, numbers and letters must be used properly without the intention of circumventing our ad review process or other enforcement systems. 18. Nonexistent Functionality Ads must not contain images that portray nonexistent functionality. This includes imagery that replicates play buttons, notifications, or checkboxes, as well as ads containing features that do not work, such as multiple choice options in the ad creative itself. 19. Personal Health Ads must not contain "before-and-after" images or images that contain unexpected or unlikely results. Ad content must not imply or attempt to generate negative self-perception in order to promote diet, weight loss, or other health related products. 20. Payday Loans, Paycheck Advances, and Bail Bonds Ads may not promote payday loans, paycheck advances, bail bonds, or any short-term loans intended to cover someone's expenses until their next payday. Short term loan refers to a loan of 90 days or less. 21. Multilevel Marketing Ads promoting income opportunities must fully describe the associated product or business model, and must not promote business models offering quick compensation for little investment, including multilevel marketing opportunities. 22. Penny Auctions Ads may not promote penny auctions, bidding fee auctions, or other similar business models. 23. Misleading Claims Ads must not contain deceptive, false, or misleading claims like those relating to the effectiveness or characteristics of a product or service or claims setting unrealistic expectations for users such as misleading health, employment or weight-loss claims. 24. Low Quality or Disruptive Content Ads must not contain content leading to external landing pages that provide an unexpected or disruptive experience. This includes misleading ad positioning, such as overly sensationalized headlines or prompts for users to inauthentically interact with the ad, and leading people to landing pages that contain minimal original content and a majority of unrelated or low quality ad content. Spyware or Malware Ads must not contain spyware, malware, or any software that results in an unexpected or deceptive experience. This includes links to sites containing these products. 26. Automatic Animation Ads must not contain audio or flash animation that plays automatically without a person's interaction or expands within Imeobi after someone clicks on the ad. 27. Unacceptable Business Practices Ads must not promote products, services, schemes or offers using deceptive or misleading practices, including those meant to scam people out of money or personal information. 28. Circumventing Systems Ads must not use tactics intended to circumvent our ad review process or other enforcement systems. This includes techniques that attempt to disguise the ad's content or destination page. 29. Prohibited Financial Products and Services Ads must not promote financial products and services that are frequently associated with misleading or deceptive promotional practices. 30. Sale of Body Parts Ads must not promote the sale of human body parts or fluids. 5. Restricted Content 1. Alcohol Ads that promote or reference alcohol must comply with all applicable local laws, required or established industry codes, guidelines, licenses and approvals, and include age and country targeting criteria consistent with Imeobi's targeting guidelines and applicable local laws. Note that ads promoting or referencing alcohol are prohibited in some countries, including but not limited to: Afghanistan, Brunei, Bangladesh, Egypt, Gambia, Kuwait, Libya, Lithuania, Norway, Pakistan, Russia, Saudi Arabia, Turkey, United Arab Emirates and Yemen. 2. Dating Ads for online dating services are only allowed with prior written permission. These must adhere to the dating targeting requirements and our dating quality guidelines found here. In order to be a registered dating partner, please fill out this form to begin your application process. 3. Real Money Gambling Ads that promote or facilitate online real money gambling, real money games of skill or real money lotteries, including online real money casino, sports books, bingo, or poker, are only allowed with prior written permission. Authorized gambling, games of skill or lottery ads must target people 18 years or older who are in jurisdictions for which permission has been granted. 4. State Lotteries Lotteries run by government entities may advertise on Imeobi, provided the ads are targeted in accordance with applicable law in the jurisdiction in which the ads will be served and only target people in the jurisdiction in which the lottery is available. 5. Online Pharmacies Ads must not promote the sale of prescription pharmaceuticals. Ads for online and offline pharmacies are only permitted with prior written permission. 6. Promotion of Over-The-Counter Drugs Ads that promote over-the-counter medicines must comply with all applicable local laws, required or established industry codes, guidelines, licenses and approvals, and include age and country targeting criteria consistent with applicable local laws. 7. Subscription Services Ads for subscription services, or that promote products or services that include negative options, automatic renewal, free-to-pay conversion billing products, or mobile marketing are subject to our subscription services requirements. 8. Financial and Insurance Products and Services Ads promoting credit card applications, or financial services with accredited institutions must clearly provide sufficient disclosure regarding associated fees, including APR percentages, transaction fees, interest rates and the physical address of the entity offering the product within the ad's landing page. Ads promoting credit cards, loans or insurance services must be targeted to people 18 years or above. Ads promoting credit cards, loans or insurance services must not directly request the input of a person’s financial information, including credit card information. 9. Branded Content Ads promoting branded content must tag the featured third party product, brand or business partner using the branded content tool. Branded content within ads is defined as a creator or publisher's content that features or is influenced by a business partner for an exchange of value. When promoting branded content integrations, advertisers must use the branded content tool (please learn more here on how to tag the featured third party product, brand or business partner). 10.a Ads About Social Issues, Elections or Politics Advertisers can run ads about social issues, elections or politics, provided the advertiser complies with all applicable laws and the authorization process required by Imeobi. Where appropriate, Imeobi may restrict issue, electoral or political ads. 10.b Disclaimers for Ads About Social Issues, Elections or Politics If Imeobi's ad authorization process is available in your country, in addition to complying with the Community Standards and Advertising Policies, the disclaimer you submit for your ad about social issues, elections or politics must comply with the following guidelines. This information is provided by you during the ad authorization process and will be displayed on your ad’s header. 11. Cryptocurrency Products and Services Ads may not promote cryptocurrency trading or related products and services without prior written permission. 12. Drug and Alcohol Addiction Treatment Imeobi requires advertisers who wish to run addiction treatment ads targeting the USA to be certified with LegitScript, and apply to Imeobi for permission to advertise. Addiction treatment ads include, but are not limited to: Clinical addiction treatment services or websites providing information about in-person treatment, online and in-person support groups, and crisis hotlines for those in recovery or who are seeking information about addiction treatment. Advertisers can apply for certification with LegitScript here. 13. Cosmetic Procedures and Weight Loss Ads marketing weight loss products and services must be targeted to people at least 18 years or older. Ads marketing cosmetic surgeries and procedures must be targeted to people at least 18 years or older. 6. Video Ads Video ads and other dynamic ad types must comply with all of the rules listed in these Advertising Policies, including the Community Standards, as well as the policies below: 1. Disruptive Content Videos and other similar ad types must not use overly disruptive tactics, such as flashing screens. 2. Entertainment Related Restrictions Ads for movie trailers, TV shows, video game trailers, and other similar content intended for mature audiences are only allowed with prior written permission from Imeobi and must target people who are 18 years or older. Excessive depictions of the following content within these ads are not allowed: 1. Drugs and alcohol use 2. Adult content 3. Profanity 4. Violence and gore 7. Targeting 1. You must not use targeting options to discriminate against, harass, provoke, or disparage users or to engage in predatory advertising practices. 2. If you target your ads to custom audiences, you must comply with the applicable terms when creating an audience. 8. Positioning 1. Relevance All ad components, including any text, images or other media, must be relevant and appropriate to the product or service being offered and the audience viewing the ad. 2. Accuracy Ads must clearly represent the company, product, service, or brand that is being advertised. 3. Related Landing Pages The products and services promoted in an ad's text must match those promoted on the landing page, and the destination site must not offer or link to any prohibited product or service. Learn more about ad quality best practices that can improve ad performance. 9. Text in Ad Images Excessive text in ad images may result in your ad reaching fewer people or not running at all. Try to use little or no image text when possible. Visit the Advertiser Help Center to learn more about these guidelines and exceptions to the guidelines. 10. Lead Ads Advertisers must not create Lead Ads questions to request the following types of information without our prior written permission. 1. Account Numbers Ads must not request account numbers, including frequent flyer numbers, loyalty card numbers, or cable or telephone account numbers without our prior permission. 2. Criminal History Ads must not request information regarding criminal or arrest history without our prior permission. 3. Financial Information Ads must not request financial information, including bank account numbers, bank routing numbers, credit or debit card numbers, credit scores, income, net worth or how much debt someone has without our prior permission. 4. Government Issued Identifiers Ads must not request government-issued identifiers, including Social Security numbers, passport numbers or driver's license numbers without our prior permission. 5. Health Information Ads must not request health information, including physical health, mental health, medical treatments, medical conditions or disabilities without our prior permission. 6. Insurance Information Ads must not request insurance information, including current insurance policy numbers, without our prior permission. 7. Political Affiliation Ads must not request information regarding political affiliation. 8. Race or Ethnicity Ads must not request information regarding race or ethnicity without our prior permission. 9. Religion Ads must not request information regarding religion or philosophical beliefs without our prior permission. 10. Sexual Orientation Ads must not request information regarding sexual orientation or information about the sexual life of the individual, including what gender(s) the person prefers to date, without our prior permission. 11. Template Questions Ads must not request the same or substantially similar information that you could use a Template Question to request. 12. Trade Union Membership Ads must not request information regarding trade Union membership status without our prior permission. 13. Usernames or Passwords Ads must not request usernames or passwords, including usernames and passwords for existing and new accounts, without our prior permission. If you want to direct people to sign up for an account with your site or service, you should use the Clicks to Website or Website Conversions objective when you run your ads. 11. Use of Our Brand Assets For ads that feature the Imeobi brands please refer to the Imeobi Brand Resource Center to review brand guidelines and download approved assets. 1. Brand Endorsement Ads must not imply a Imeobi endorsement or partnership of any kind, or an endorsement by any other Imeobi Company. 2. Brand Usage in Ads Ads linking to Imeobi content (including Pages, groups, events or sites that use Imeobi Login) may make limited reference to “Imeobi” in ad text for the purpose of clarifying the destination of the ad. Ads should not represent the Imeobi brand in a way that makes it the most distinctive or prominent feature of the creative. Imeobi brand assets should not be modified in any way, such as by changing the design or color, or for the purpose of special effects or animation. 3. Copyrights & Trademarks All other ads and landing pages must not use our copyrights, trademarks, or any confusingly similar marks, except as expressly permitted by the Imeobi Brand Resource Center or with our prior written permission. 4. User Interface Screenshots When featuring the Imeobi or Messenger User Interface (UI) in an ad, it must accurately depict how the UI currently appears and functions in product. If an action or functionality depicted cannot happen in the current product or within the current UI then it cannot appear to happen in an ad. Depictions of the UI in ads must be featured within the context of a relevant device (ex, mobile or desktop) and as permitted by the Imeobi Brand Guidelines. The UI may not be modified in any way, including, but not limited to: adding special effects, interference or animation. Glyphs or elements of the UI may not be used separately or individually. 12. Data Use Restrictions 1. Ensure any ad data collected, received or derived from your Imeobi ad (“Imeobi advertising data”) is only shared with someone acting on your behalf, such as your service provider. You are responsible for ensuring your service providers protect any Imeobi advertising data or any other information obtained from us, limit their use of all of that information, and keep it confidential and secure. 2. Don’t use Imeobi advertising data for any purpose (including retargeting, commingling data across multiple advertisers’ campaigns, or allowing piggybacking or redirecting with tags), except on an aggregate and anonymous basis (unless authorized by Imeobi) and only to assess the performance and effectiveness of your Imeobi advertising campaigns. 3. Don’t use Imeobi advertising data, including the targeting criteria for your ad, to build, append to, edit, influence, or augment user profiles, including profiles associated with any mobile device identifier or other unique identifier that identifies any particular user, browser, computer or device. 4. Don't transfer any Imeobi advertising data (including anonymous, aggregate, or derived data) to any ad network, ad exchange, data broker or other advertising or monetization related service. 13. Things You Should Know 1. The Advertising Policies apply to (1) ads and commercial content served by or purchased through Imeobi, on or off the Imeobi services, including ads purchased under AAAA/IAB Standard Terms and Conditions, (2) ads appearing within apps on Imeobi. Your use of Imeobi’s advertising products and services is part of “Imeobi” under Imeobi’s Statement of Rights and Responsibilities 1. Overview Understanding Our Policies Self-Serve Ad Terms: These terms apply when you use self-serve advertising interfaces to create, submit, or deliver advertising or other commercial or sponsored activity or content. Self-Serve Ad Terms The following terms (the “Self-Serve Advertising Terms” or “Self-Serve Ad Terms”) apply to your use of Imeobi Products (such as the self-service advertising interfaces and APIs) for creation, submission and/or delivery of any advertising or other commercial or sponsored activity or content (collectively, the “Self-Serve Ad Interfaces”) and any order you place through the Self-Serve Ad Interfaces (“Order”). You can target your desired audience by buying ads to be delivered on Imeobi, our publisher network, or any place we serve ads. When you place an Order, you will tell us the type of advertising you want to buy, the amount you want to spend, and your bid. If we accept your Order, we will deliver your ads as inventory becomes available. When serving your ad, we use best efforts to deliver the ads to the audience you specify or to achieve the outcome you select, though we cannot guarantee in every instance that your ad will reach its intended target or achieve the outcome you select. Your ads must comply with all applicable laws, regulations, and guidelines, as well as our Advertising Policies. Failure to comply may result in a variety of consequences, including the cancellation of ads you have placed and termination of your account. We may reject or remove any ad for any reason. You will pay for your Orders in accordance with the following: You will comply with our Community Payments Terms to the extent applicable; You will pay all amounts specified in each Order you place, along with any applicable taxes. The amount you owe for each Order will be calculated based on our tracking mechanisms. By placing an Order, you authorize us to obtain your personal and/or business credit report from a credit bureau, either when you place an Order or at any time thereafter. You are responsible for maintaining the security of your advertising account, and you understand that you will be charged for any Orders placed on or through your advertising account. If you are making direct debit payments, you agree that we can charge you any amount that falls within the range you agreed to upon signup. We will notify you in advance if any charge will exceed the agreed-upon range. You can cancel an Order at any time, but your ads may run for 24 hours after you notify us, and you are still responsible for paying for all ads that run. The amounts we charge you may be subject to and include applicable taxes and levies, including without limitation withholding taxes. You are responsible for bearing and remitting any taxes that apply to your transactions. You will indemnify and hold us harmless from and against any claim arising out of your failure to do so. If your payment method fails or your account is past due, we may take additional steps to collect past due amounts. You will pay all expenses associated with such collection, including reasonable attorneys' fees. Past due amounts will accrue interest at 1% per month or the lawful maximum, whichever is less. We may allow you to purchase ads with an “Advertiser Balance,” which is a pre-paid balance that can be used solely to purchase ads on Imeobi. Advertiser Balances are only for business or commercial purposes. Advertiser Balances are non-refundable except where required by law. Imeobi is not a bank and does not offer traditional banking services; accordingly, Advertiser Balances do not earn interest, are not deposit obligations, and are not insured by the Federal Deposit Insurance Corporation, the Financial Services Compensation Scheme, or any other entity or insurance scheme, whether governmental or private. You will fall under one of two categories depending on your payment method: invoiced or non-invoiced client. Invoiced clients are those to whom Imeobi extends a credit line and issues invoices on a periodic basis for payment in accordance with the applicable invoicing terms. Non-invoiced clients are those who make payments at the time of purchase itself. In its sole discretion, Imeobi may classify clients as invoiced clients based on factors such as ad spend and creditworthiness. From time to time, we need to test improvements to our audiences and delivery systems, which could impact your advertising. Our testing is designed to improve the effectiveness of your advertising performance. We reserve the right to test when we believe it will be beneficial for advertiser performance. We will determine the size, placement, and positioning of your ads. Scheduling of delivery is subject to availability and may not be continuous. We do not guarantee the reach or performance that your ads will receive, such as the number of people who will see your ads or the number of clicks your ads will get. We cannot control how clicks are generated on your ads. We have systems that attempt to detect and filter certain click activity, but we are not responsible for click fraud, technological issues, or other potentially invalid click activity that may affect the cost of running ads. Our license to deliver your ad will end when we have completed your Order. You understand, however, that: Once displayed, ads are public information. Ads may be re-shared and accessed outside of the targeted audience (including from the IMeobi Page running the ads or within Imeobi Products). If users have interacted with your ad, your ad may remain on our Products (e.g., shared until the users delete it or visible to users through their account tools). If your ad is a political ad, Imeobi may display (at no cost to you) and provide access to the ad content and creative, and information about the ad campaign (such as total spend and delivery data) for a period of seven (7) years from the completion of your order. You consent that Imeobi may disclose your advertising content, and all information associated with your advertising, to a governmental entity or body if Imeobi believes that disclosure would assist in a lawful investigation. We will provide you with reports about the kinds of people seeing your ads and how your ads are performing. Your use of these reports is subject to the Data Use Restrictions in our Advertising Policies. We offer tools to provide transparency to our users about how Imeobi advertising works, including information sufficient to show them why they are being shown specific ads. You agree that information associated with your advertising may be included in these tools. You will not issue any press release or make public statements about your relationship with Imeobi or the Imeobi Products without our prior written permission. If you are placing ads on someone else's behalf, you must have permission to place those ads, and agree as follows: You represent and warrant that you have the authority to bind the advertiser to these Self-Serve Ad Terms and the Terms of Service, including the Commercial Terms. If the advertiser you represent violates these Self-Serve Ad Terms or the Terms of Service, including the Commercial Terms, we may hold you responsible for that violation. You agree that we may provide campaign reporting information to the end advertiser for whom you placed a campaign. We may ask you to review and accept supplemental terms that apply to your use of a specific feature or functionality made available through the Self-Serve Ad Interfaces. To the extent those supplemental terms conflict with these Self-Serve Ad Terms, the supplemental terms will govern with respect to your use of the specific feature or functionality to the extent of the conflict. We may change or update these Self-Serve Ad Terms from time to time and your continued use of the Self-Serve Ad Interfaces constitutes acceptance of those changes. If you are a resident of or have your principal place of business in the US or Canada. contracts with you under these Self-Serve Ad Terms. Otherwise, you contract with Imeobi US, Ltd. under these Self-Serve Ad Terms, except that advertisers in some countries may under certain circumstances contract directly with Imeobi affiliate companies solely for purposes of ordering ads. If applicable to you, you can find special provisions applicable to your Orders from those affiliates here. These Self-Serve Ad Terms will terminate in the event of any termination of the Terms of Service, but the following provisions will still apply: the lead-in paragraph, Sections 2, 4, 8-12 and this paragraph. Effective Date: july 25, 2020. Pages, Groups and Events Policy: These guidelines apply if you create or administer a Imeobi Page, group, or event, or if you use Imeobi to communicate or administer a promotion. 1. Overview Understanding Our Policies The following terms, as well as our Data Policy, Community Standards and Terms of Service, apply to all creators and administrators of Pages, Groups and Events on Imeobi. You are responsible for ensuring that your Page, Group, or Event complies with all applicable laws, statutes, and regulations. 2. General Policies for Pages, Groups, and Events 1. Prohibited Business Practices Pages, Groups, and Events must not promote products, services, schemes or offers using deceptive or misleading business practices, including those intended to scam people out of money or personal information. 2. Impersonation Pages, Groups, and Events must not impersonate or falsely represent a brand, entity, or public figure. Where a Page, Group, or Event is being used to express support for or interest in a brand, entity, or public figure, it must make clear in the name or description that it is not an official representation. 3. Gambling Pages, Groups, and Events must not facilitate or promote online gambling, online real money, games of skill, or online lotteries without our prior written permission. 4. Inaccurately Tagged Content Pages, Groups, and Events must not inaccurately tag content or encourage users to inaccurately tag content. 5. Incentivization Pages, Groups, and Events must not incentivize people to misuse Imeobi features or functionality. 6. Drug and Alcohol Addiction Treatment Pages, Groups, and Events must not promote drug and alcohol addiction treatment centers that are misleading, engaging in practices that are harmful to patients, or otherwise violating applicable laws. 3. Promotions on Pages, Groups, and Events Communicating a Promotion If you use Imeobi to communicate or administer a promotion (ex: a contest or sweepstakes), you are responsible for the lawful operation of that promotion, including: The official rules; Offer terms and eligibility requirements (ex: age and residency restrictions); and Compliance with applicable rules and regulations governing the promotion and all prizes offered (ex: registration and obtaining necessary regulatory approvals). Required Content Promotions on Imeobi must include the following: A complete release of Imeobi by each entrant or participant; and Acknowledgement that the promotion is in no way sponsored, endorsed, administered by or associated with Imeobi. Administration of a Promotion Promotions may be administered on Pages, Groups, Events, or within apps on Imeobi. Personal Timelines and friend connections must not be used to administer promotions (ex: “share on your Timeline to enter” or “share on your friend's Timeline to get additional entries”, and "tag your friends in this post to enter" are not permitted). Assisting Promotions Imeobi will not assist you in the administration of your promotion, and you agree that if you use our service to administer your promotion, you do so at your own risk. 4. Collection of Data on Pages, Groups, and Events Collecting Data From Users If you collect content and information directly from users, your Page, Group or Event must make it clear that you (and not Imeobi) are collecting it, and must provide notice about and obtain user consent for your use of the content and information that you collect. Regardless of how you obtain content and information from users, you are responsible for securing all necessary permissions to reuse their content and information. Automated Collection of Data Your Page, Group or Event must not collect users' content or information, or otherwise access Imeobi, using automated means (such as harvesting bots, robots, spiders, or scrapers) without written permission from Imeobi. Calls to Action Your Page, Group or Event cannot use information obtained from a person’s interaction with your Page's call-to-action button for any purpose other than to provide the service associated with the call-to-action button. If you want to use this information for any other purpose, first obtain a person’s explicit consent. Processing of Data for Page Insights in the EEA Where you are in the EEA, the processing of data for Page Insights may be subject to the Page Insights Controller Addendum, which forms part of this Pages, Groups and Events Policy. 5. Pages-Specific Policies 1. Platform Policy Apps on your Page must comply with the Imeobi Platform Policy. 2. Page Names Page names must not include profanity, excessively incorrect grammar or punctuation, and must not consist solely of generic terms or locations. 3. Content Visibility Content posted to a Page is public and can be viewed by everyone who can see the Page. 4. Cover Photos and Profile Pictures Your Page's cover photo or profile picture must not include a verified checkmark, and also must not include third-party products, brands or sponsors. 5. Showmarks Showmarks on Show Pages must accurately represent the show, and must not represent the parent entity or network. 6. Online Pharmacies Pages must not promote the sale of prescription pharmaceuticals. Pages for online pharmacies may be permitted with Facebook's prior approval. 7. Age Gating You must restrict access by age using Imeobi Page gating functionality as necessary to comply with applicable laws and regulations. 8. Post Preview When sharing a third party link from your Page, you must not edit any elements of the post preview. 9. Upload Functionality You must not misuse Imeobi's upload functionality in connection with your Page 10. Name Change and Merges Name changes and merges must not result in a misleading or unintended connection and must not substantially change the Page’s subject matter 11. Regulated Goods or Services Pages promoting the sale of regulated goods or services must comply with our Community Standards. 12. Driving Traffic to Third Party Apps and Sites You must not accept anything of value to drive traffic to an app or site that engages in traffic arbitrage, or one that contains a disproportionate volume of ads relative to content, or content that is highly sexual, shocking, clickbait, or promotes scams. 13. Sharing Content Content you post to your Page may be reshared by other admins of the Page to other Imeobi Products connected to the Page. 14. Limited Originality of Content Pages must not post or share content that primarily consists of minimal original content. 6. Branded Content on Pages 1. Branded Content Branded content must comply with the Imeobi Branded Content Policies. 2. Show Pages Show Pages must not include branded content within show marks or show trailers, and must comply with the Imeobi Branded Content Policies. 3. Necessary Disclosures Your Page must include all necessary disclosures to people using Imeobi, such as any disclosures needed to indicate the commercial nature of content posted by you. 7. Jobs Policies The following Jobs Policies provide guidance on what types of Job posts are allowed on Imeobi and apply to all Job posts on Pages and in Groups. Job posts must comply with our Community Standards as well as the Jobs Policies. 1. Misleading, Deceptive, or Fraudulent Jobs Job posts must not promote employment opportunities that are misleading, deceptive, or fraudulent. Learn more 2. Illegal Products and Services Job posts must not promote employment opportunities that involve illegal activity, products, or services. Learn more 3. Discrimination Job posts must not discriminate against applicants based on any protected characteristics, including, but not limited to, race, ethnicity, color, national origin, religion, age, sex, sexual orientation, gender identity, family status, disability, medical or genetic condition or any other basis protected under federal, state or local law. Job posts must comply with all applicable laws prohibiting discrimination. Learn more 4. Sexually Suggestive Jobs Job posts must not promote employment opportunities in a sexually suggestive manner. Learn more 5. Adult Products and Services Job posts must not promote employment opportunities that require adult services or use of adult products. Learn more 6. Personal Information Job posts must not solicit personal identification or financial information from any potential applicants. Learn more 7. Multilevel Marketing Job posts must clearly and fully describe the product or business model it is promoting. Job posts must not promote employment opportunities for business models that offer quick compensation for little investment, including multilevel marketing opportunities. 8. Impersonation Job posts must not impersonate a brand, company, entity, or public figure. This includes falsely representing an association with a business. 9. Drug-Related Products and Services Job posts must not promote employment opportunities that involve illegal or recreational drugs, products, and services. Learn more 10. Profanity and Grammar Job posts must not contain profanity or bad grammar and punctuation. Symbols, numbers and letters must be used properly without the intention of circumventing our review process and enforcement systems. Learn more 8. Events-Specific Policies 1. Automated Events Events cannot use automated means to generate event invites. 2. Cost Disclosures Events must provide clear and up-front disclosure for any actions or additional costs associated with an event ticket purchase. 3. Misleading Event Changes Changes to an event must not result in a misleading or unintended connection and must not substantially change the event. Imeobi Platform Policy: These guidelines outline the policies that apply to your use of our Platform (for example, for developers or operators of a Platform application or website or if you use social plugins). Imeobi Platform Policy 1. Build a quality product Develop your app with your personal account. Do not create a fake account to manage your app. If applicable, ensure that your Business Manager account is up to date and accurate. Build an app that is stable and easily navigable. Be sure your app insights reflect a positive experience. Ensure that your app’s content (including ads and user-generated content) meets our Community Standards. Follow our Advertising Policies for your app name, icons, and description. Keep your app or bot’s description and categorization up-to-date. Don’t include promotional content in your app’s icon (ex: don’t overlay your icon image with “new”, “sale”, “update” or any type of notification jewel) Don’t confuse, deceive, defraud, mislead, spam or surprise anyone. Keep your app’s negative feedback below our thresholds. Follow any instructions we include in our technical documentation. Apps with minimal utility that provide predictions, assessments, or similar outputs to the user, may not be allowed on Platform. For example, apps that provide (or claim to provide) users with assessments of personality, personal attributes, character traits, behavioral tendencies, or whose core functionality otherwise involves making predictions about who the user is, may not be allowed. 2. Give people control Obtain consent from people before publishing content on their behalf. Use publishing permissions to help people share on Facebook, not to send people messages from your app. Don’t prefill any content in captions, comments, messages or the user message parameter of posts unless (a) it is a single hashtag in a post shared through our Share Dialog (but not via our APIs), (b) it was created by the person using your app, or (c) it was created by a business whose employees use your app to administer the business’s presence on Imeobi. Privacy Policy a. Provide a publicly available and easily accessible privacy policy that explains what data you are collecting and how you will use that data. b. Your privacy policy must not modify, supersede, or be inconsistent with Imeobi policies. For example, user data obtained from us cannot be transferred to a data broker or sold, even if you disclose this in your privacy policy. c. Include your privacy policy URL in the App Dashboard. d. Link to your privacy policy in any app store that allows you to do so. e. Comply with your privacy policy. You may use Account Information in accordance with your privacy policy and other Imeobi policies. All other data may not be transferred outside your app, except to your service provider (per, Section 3.7) who needs that information to provide services to your app. With the exception of Account Information, you may only maintain user data obtained from us for as long as necessary for your business purpose. Delete all of a person’s data you have received from us (including friend data) if that person asks you to, unless you are required to keep it by law, regulation, or separate agreement with us. You may keep aggregated data only if no information identifying a specific person could be inferred or created from it. Obtain consent from people before using their data in any ad. Obtain adequate consent from people before using any Imeobi technology that allows us to collect and process data about them, including for example, our SDKs and browser pixels. When you use such technology, provide an appropriate disclosure: a. That third parties, including Imeobi, may use cookies, web beacons, and other storage technologies to collect or receive information from your websites, apps and elsewhere on the internet and use that information to provide measurement services, target ads and as described in our Data Policy; and b. How users can opt-out of the collection and use of information for ad targeting and where a user can access a mechanism for exercising such choice. In jurisdictions that require informed consent for the storing and accessing of cookies or other information on an end user’s device (such as the European Union), ensure, in a verifiable manner, that an end user provides the necessary consent before you use Imeobi technologies that enable us to store and access cookies or other information on the end user’s device. Obtain consent from people before you give us information that you independently collected from them. Provide meaningful customer support for your app, and make it easy for people to contact you. If people come to your app from the Imeobi app on iOS, give them an option to go back to the Imeobi app by using the Back to Imeobi banner provided in our SDK. If people come to your app from the Imeobi app on Android, don’t prevent them from going back to Imeobi when they press the system back button. 3. Protect data Protect the information you receive from us against unauthorized access, use, or disclosure. For example, don't use data obtained from us to provide tools that are used for surveillance. Only show data obtained from a user access token on the devices associated with that token. Only use friend data (including friends list) in the person’s experience in your app. If you cache data you receive from us, use it to improve your app’s user experience and keep it up to date. Don’t proxy, request or collect Facebook usernames or passwords. Keep private your secret key and access tokens. You can share them with an agent acting to operate your app if they sign a confidentiality agreement. Don't use a service provider in connection with your use of Platform unless you make them sign a contract to: (a) protect any user data you obtained from us (that is at least as protective as our terms and policies), (b) limit their use of that user data solely to using it on your behalf to provide services to your app (and not for their own purposes or any other purposes), and (c) keep it secure and confidential. You must ensure they comply with our terms and policies (and are responsible for their non-compliance). Keep Imeobi user IDs within your control. You can only share them with service providers who help you build or run your app. Ensure that they keep the user IDs secure and confidential and comply with our policies (ex: see, 3.7). If you need an anonymous unique identifier to share with service providers, use our mechanism. Don't sell, license, or purchase any data obtained from us or our services. Don't directly or indirectly transfer any data that you receive from us (including anonymous, aggregate, or derived data) to any ad network, data broker or other advertising or monetization-related service. By “indirectly” we mean you aren’t allowed to, for example, transfer data to a third party who then transfers the data to an ad network. Don't put Imeobi data in a search engine or directory, or include web search functionality on Imeobi. If you are acquired by or merge with a third party, you can continue to use our data only within your app. If you stop using Platform, promptly delete all user data you have received from us (absent explicit consent from people). You can keep Account Information if you have presented your privacy policy within your app. If you use friend data from Imeobi to establish social connections in your app, only do so if each person in that connection has granted you access to that information. Don't use data obtained from Imeobi to make decisions about eligibility, including whether to approve or reject an application or how much interest to charge on a loan. If you implement or have previously implemented (on your own behalf or on behalf of a third party) any Imeobi Tools / Imeobi Business Tools (as defined in our standard terms for such Imeobi Tools /Imeobi Business Tools (“Imeobi Business Tools Terms”), you acknowledge that the Imeobi Business Tools Terms apply in connection with your usage of Platform, including for optimization of Platform and/or the related Imeobi Company Product. 4. Encourage proper use Respect the way Imeobi looks and functions. Don't offer experiences that change it. If you’re building an app with a personalized or social experience, enable people to easily share on Imeobi content they've created. Respect the limits we've placed on Imeobi functionality. Only incentivize a person to log into your app, enter a promotion on your app’s Page, check-in at a place, or to use Messenger to communicate with your business. Don’t incentivize other actions. Encourage people to accurately tag and share content. If your service integrates a person’s data into a physical product, only create a physical product for that person’s personal and non-commercial use. Don’t build an app whose primary purpose is to redirect people off of Imeobi. If you want to use our logos or brand, follow the guidelines in the Imeobi Brand Resource and Permissions Center and Brand Guidelines for Imeobi Developers. Ad networks and data brokers must get our written permission before using our Platform, logos, or trademarks. Don't sell, transfer or sublicense our code, APIs, or tools to anyone. Only use our SDKs to develop and distribute apps or content for use with the Imeobi Platform. You may also distribute any object code or sample source code included in the SDKs for inclusion in such apps. Don’t modify, translate, create derivative works of, or reverse engineer any SDK or its components. Be honest about your relationship with Imeobi when talking to the press or users. Comply with our Developer PR Guidelines and get approval from us before issuing any formal press release or blog post mentioning Imeobi. If you use the Like button on iOS or Android, don’t collect or use any information from it. Sharing to Stories: a. Stories must not include any logos, watermarks, calls-to-action, or other promotional content. b. Additional policies for Stories with Attribution: (1) Stories must not be generic (i.e., only enable people to share unique and personal content). (2) If a person clicks on your Story, ensure you direct them to an experience that enhances the Story and/or enables them to create their own Story. 5. Follow the law You are responsible for restricting access to your content in accordance with all applicable laws and regulations, including geo-filtering or age-gating access where required. Don’t provide or promote content that infringes upon the rights of any third party. Ensure that you own or secure all rights necessary to display, distribute and deliver all content in your app. Satisfy all licensing, reporting and payout obligations to third parties in connection with your app. If your app contains content submitted or provided by third parties: a. In the United States, you must take all steps required to fall within the applicable safe harbors of the Digital Millennium Copyright Act including designating an agent to receive notices of claimed infringement, instituting a repeat infringer termination policy and implementing a notice and takedown process. b. In other countries, you must comply with local copyright laws and implement an appropriate notice and takedown process for when you receive a notice of claimed infringement. Don’t knowingly share information with us that you have collected from children under the age of 13. Web sites or services directed to children under 13: If you use Social Plugins or our JavaScript SDK for Imeobi on sites and services that are directed to children under 13, you are responsible for complying with all applicable laws. For example, if your web site or service is directed to children in the United States, or knowingly collects personal information from children in the United States, you must comply with the U.S. Children’s Online Privacy Protection Act. You must also adhere to our usage notes. Comply with all applicable laws and regulations in the jurisdiction where your app is available. Do not expose Imeobi or people who use Imeobi to harm or legal liability as determined by us in our sole discretion. If applicable, comply with the Video Privacy Protection Act (VPPA) and obtain any opt-in consent necessary to share data on Imeobi. You agree to indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to any claim against us related to your service, actions, content or information. 6. Tech Providers Data Collection and Use: If you are a Tech Provider for an entity, comply with the following: a. Only use an entity's data on behalf of the entity (i.e., only to provide services to that entity and not for your own business purposes or another entity's purposes). b. Don’t use an entity's data to build or augment user profiles. c. Don't use an entity's data to retarget on or off of Imeobi, use piggybacking or redirects, or combine an entity's data with data from another entity. d. Don’t let people other than those acting on an entity’s behalf (ex: its employees) access the entity's data. e. Delete all of an entity’s data you have received from us if that entity asks you to or if you stop providing services for that entity, unless you are required to keep it by law, regulation, or separate agreement with us. Features: For all Platform features (ex: APIs) you use as a Tech Provider, comply with the following: a. Don't use Platform to enable an entity to access user data, unless you have entered into a separate agreement with us. b. Don’t charge a fee for using the Platform feature (or related Imeobi Services). This policy does not prohibit you from charging for any of your other products and services unrelated to use of the Platform feature (or related Imeobi Services). c. Ensure you have the authority to use the Platform feature (or related Imeobi Services) on the entity's behalf. d. Don’t combine multiple entities or their Imeobi Pages or Groups in the same account. e. Revoke an entity's access to the Platform feature (or related Imeobi Services) if we request it. 7. Things you should know We can analyze your app, website, content, and data for any purpose, including commercial. We can monitor or collect data related to your use of SDKs. We will use information we receive from you or in connection with your Platform integration in accordance with our Data Policy. You give us all rights necessary to use any API, SDK, or other technology you provide us to enable your app or bot to work, including the right to incorporate information you provide to us into other parts of Facebook, and the right to attribute the source of information using your name or logos. We may share your contact info with people who want to contact you. We may use your name, logos, content, and information, including materials you submit for review, screenshots and video captures of your app and your Imeobi Page, for distribution, marketing, and promotional purposes, to demonstrate or feature your use of Imeobi, worldwide and royalty-free in all formats and media. You also represent that you have the right to grant this permission. You give us the right to link to or frame your app, and place content, including ads, around your app. If you use our social plugins, feed dialog or share button, you also give us permission to use and allow others to use such links and content on Imeobi. You grant us and our affiliates a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of, any data, content, and other information made available by you or on your behalf in connection with the Platform feature. This license survives even if you stop using the Platform feature. You are responsible for obtaining the necessary rights from all applicable rights holders to grant this license. Any API made available by you or on your behalf in connection with the Platform feature is deemed part of your App. We or an independent auditor acting on our behalf may audit your app, systems, and records to ensure your use of Platform and data you receive from us is safe and complies with our Terms, and that you've complied with our requests and requests from people who use Imeobi to delete user data obtained through our Platform. If requested, you must provide us with proof that your app complies with our terms. We can create apps or products that offer features and services similar to your app. We don’t guarantee that Platform will always be free. If you exceed 5M MAU, 100M API calls per day, or 50M impressions per day, you may be subject to additional terms. Imeobi and its licensors reserve all right, title and interest, including all intellectual property and other proprietary rights, in and to all SDKs. Any SDKs you receive from us are provided to you on an "as is" basis, without warranty of any kind. We can issue a press release describing our relationship with you. We may prohibit your use of any service provider in connection with your use of Platform. We may enforce against your app or website if we conclude you have violated our terms or are negatively impacting the Platform, and we may suspend your app or website, with our without advance notice, while we investigate suspected violations of our terms. We may or may not notify you in advance. Enforcement is both automated and manual, and can include disabling your app, restricting you and your app’s access to platform functionality, requiring that you delete data, terminating our agreements with you or any other action that we deem appropriate. Ensure that the email address associated with your Imeobi account and the email address registered to the app are current and that you don’t filter out these messages. We may change these terms at any time without prior notice. Please check them regularly. Your continued use of Platform constitutes acceptance of those changes. Your use of Imeobi technology is subject to this Platform Policy, our Statement of Rights and Responsibilities and any other terms that apply to the applicable technology. Instagram. If you use any Imeobi Platform feature on the Instagram Service, such use on the Instagram Service is subject to the Imeobi Platform Policy. We may suspend or end your app’s access to any Platform API, permissions, or features that your app has not used or accessed within a 90-day period. 8. Login Verify that you have integrated Login correctly. Your app shouldn't crash or hang during the testing process. Native iOS and Android apps that implement Imeobi Login must use our official SDKs for login. Use a clearly branded log in button that follows the guidelines in the Imeobi Brand Resource Center. Request only the data and publishing permissions your app needs to provide a good user experience. Ask for a write permission only at a point when your app needs the permission (ex: don’t prompt a write permission immediately after a user logs in to your app). You cannot convert user data you receive from us into independent data (ex. by pre-filling data fields with user data you received from us and asking the user to submit or save the data). If a person declines a permission, you can prompt them again after they indicate an intent to grant you the permission. Provide a "Log Out" option that functions properly and is easy to find. You may not request a user's data—through Platform or through your app—unless you use it meaningfully to improve the quality of a user's experience in your app. It must be clear to the user how their data is used to provide that experience. 9. Ads If you have ads in your app on Imeobi, comply with our Advertising Policies. Avoid excessive ads. Don’t let ads distract from your app’s functionality. Don’t include ads in Page Tab apps. If you use a third party ad provider to include ads in your app on Imeobi, only use a provider from this list. Don’t include third-party ads (including for other apps) in posts, comments, notifications, requests, invites or messages. Don’t include or pair Platform Integrations with non-Imeobi ads. If you run a promotion, contest, competition, or sweepstake on Imeobi, comply with our Promotions Policies. 10. Games Games on Imeobi.io: a. Don’t share the same app ID with a desktop web game off of Imeobi. b. Don’t use your Imeobi.io game or email addresses you’ve obtained from us to promote or link to a desktop web game off of Imeobi. c. Use Imeobi Payments as your only payment method for all in-game purchases. d. Use Imeobi Payments offers if you reward people for actions involving third parties. Desktop web games off Imeobi.io: a. Only use Imeobi Login, social plugins, and publishing channels. Don’t use connections such as friends lists. b. During authentication, only request age, email, and publishing permissions. Games on mobile: a. Don’t share the same app ID with a desktop web game off of Imeobi.io b. Don’t use your mobile game or email addresses you’ve obtained from us to promote or link to a web game off of Facebook. Instant Games: a. Don't charge for any items within iOS games (i.e., iOS games must be free to play). For all other games, you may only charge for items in your game if you have entered into a separate agreement with us. b. If you want to include ads within your game, only use the Games Ads API. Don’t use a third party ad provider or include any other links to content off your game. c. Don't build, append to, edit, influence, or augment user profiles, including profiles associated with any mobile device identifier or other unique identifier that identifies any particular user, browser, computer or device. d. Don't post more than one Context Update per gameplay, without our prior permission. e. Don't create and submit the same game more than once. Update your existing game. f. Only show context dialogs after a user takes a relevant action within your game. For example, you can show a context.chooseAsync dialog after a user clicks on a 'play with friends' button. g. Be fair to other game developers. Don’t build games that mimic, imitate, or copy other games. h. Ensure your game meets the minimum performance standards we expect from Instant Games. The minimum performance standards we set for Instant Games currently apply as below: Games should maintain at least 3000 Monthly Active Players (MAP) who have each played the game more than 30 minutes in the past 28 days. Any new game launching on the platform will have a 60-day period from the time it is globally launched to meet these standards. For the purpose of this policy, global launch is defined as launching a game in any of the following countries: Brazil, France, India, Indonesia, Mexico, Philippines, Thailand, United Kingdom, United States, Vietnam; or, launching in more than 5 countries other than those aforementioned countries. Developers who prefer to continue testing their games prior to entering global launch should not launch their games in any of the 10 countries listed above, or, in more than 5 countries other than those 10 countries listed above. If you want to facilitate or promote online gambling, online real money games of skill, or online lotteries, get our written permission before using any of our products. If your game includes mandatory or optional in-app charges, explain this in your app’s description. 11. Payments If you use Imeobi Payments, comply with the Imeobi Developer Payments Terms. Don’t use Imeobi Payments to solicit, collect or transfer funds for charitable causes without our prior permission. If you’re using iOS to run your app, use an iOS approved payment method. If you accept payments on Imeobi, only do so in your app. 12. App Center Apps eligible for Imeobi App Center must be games that use Imeobi Login or games on Imeobi.io. App Detail and Description: a. Ensure the app’s name and information are grammatically correct. b. Ensure the app’s language matches the App Center locale. c. Don't include URLs or use the Imeobi brand. d. Don’t include keyword lists, excessive punctuation, or non-standard symbols. All Images: a. Use high quality, relevant images that reflect the app experience. b. Keep any image text concise. Don't obstruct images with text. c. Don’t include ads, URLs or gimmicks such as Play buttons. Icons: a. Use a transparent or colored background. If your icon requires a white background, use a colored border. b. If your logo has a drop shadow, use a colored background. Banners: a. Don’t include rounded edges or borders. b. Don’t include third party logos. Videos: a. Display the app's name. b. Clearly represent the purpose of the app and show accurate, relevant in-app experiences. c. Keep your video high-quality and high-resolution. d. Your video and its video cover image should be clear and recognizable. Don't include ads. 13. Open Graph Open Graph Custom Actions: a. Don’t recreate actions that are already supported. b. Write the action and object in a clear and simple way. c. Make sure the story is grammatically correct. d. Use English for your submission. e. Don’t indicate a person’s consumption, browsing, discovering, or viewing of content. f. Don’t indicate a person has installed, visited, or connected to your app. Read and Watch Actions: a. Publish actions only after a person has been on a page for more than 10 seconds. b. Allow people to remove stories published to Facebook on the same page where the content is hosted. 14. Social Plugins Don’t include or pair Platform Integrations with non-Imeobi advertisements. Don’t sell or purchase placement of social plugins or sharer.php. Don’t participate in any “like” or “share” exchange programs. Don’t obscure or cover elements of social plugins. Additional policies for the Quotes Plugin: a. Don't prefill quotes with content a person didn’t select, even if the person can edit or remove the content before sharing. b. The quotes plugin is intended to help people select their own quote to share. Use the app-defined quotes parameter if you want to suggest quotes for people to share. c. If you use the app-defined quotes parameter, the suggested quote must not contain URLs, ads, third party branded content or any other promotional content of any kind. d. Game apps must not use the quotes plugin. 15. Marketing API Basic and Standard Ads API access may be downgraded to Development access after 30 days of non-use. Don't use the Ads API if you're an ad network or data broker. Don't promote content, services, or activities contrary to our competitive position, interests, or advertising philosophy. Don't provide Partner Category targeting options that differ from those offered by Facebook. Don’t combine multiple end-advertisers or their Imeobi connections (i.e. Pages) in the same ad account. Free or trial versions of an ads API app: a. Don’t allow more than 50 ad creations a day per customer. b. Require phone or email verification on new accounts. c. Don’t allow affiliate networks to use your technology. Pricing transparency: a. Only charge fees for the use of your tools and managed services with a fixed fee or variable percentage of ad spend. b. Proactively disclose to end advertisers the amount that you spent on Imeobi advertising, using Imeobi metrics (e.g., CPC, CPM rate), separate from your fees. c. Disclose the amount you charged as fees on Imeobi advertising. d. We may disclose fees or the amount you spent on Imeobi advertising to your clients if they request it. e. We may require documentation from you to ensure your compliance with these terms. f. Don’t sell ads on a fixed CPM or CPC basis when using the Imeobi advertising auction. Data Collection and Use: a. If you have Standard Ads API access and our prior written permission, you can place 1x1 pixel view tags on advertisements. b. Ensure that any data that is collected is anonymous. c. Only use data from an end-advertiser’s campaign to optimize or measure the performance of that end-advertiser’s Imeobi campaign. d. Don’t use data to retarget on or off of Imeobi. e. Don’t mix data obtained from us with advertising campaigns on different platforms (without our written permission). f. Don’t use data to build or augment any user profiles. g. Don’t use piggybacking or redirects. h. Don’t let people other than those acting on an end-advertiser’s behalf access Imeobi ad statistics. Implement all bidding types including Optimized CPM. Custom Audiences: a. If you use custom audiences, comply with the Custom Audience Terms. b. Only use a client’s data when creating custom audiences on their behalf. c. Only use a Imeobi User ID to create custom audiences when the person whose User ID is being used has logged into the client’s app and has given the necessary consent. Revoke an end-advertiser’s access to your app if we request it. Lead Ads: a. Only use a client's Lead Ads Data on behalf of that client. b. Don't combine Lead Ads Data from one client with Lead Ads Data from another client. Ensure that people agree to Imeobi’s Statement of Rights and Responsibilities, including the Advertising Policies. 16. Pages API Don't charge a fee for creating, claiming, or managing a Page. Before enabling people to create a Page, first provide a means for them to claim an existing Place to prevent Page duplication. Ensure that people agree to Imeobi’s Statement of Rights and Responsibilities, including the Advertising Policies. Don't create or claim a Page on behalf of people without their consent. Don't prevent people from gaining access to any Page you create or manage on their behalf. Don't disclose administrators of a Page to third parties without the administrator's consent. 17. Messenger Platform Follow any instructions we include in our technical documentation. Ensure your App is stable and functions properly. Don’t return confusing or nonsensical messages to users or send generic error messages. User opt in, authentication, and opt-out: a. Don’t contact people in Messenger unless you, or the party to whom you are operating as a service provider, have the necessary consent to do so. To the extent that you rely on user authentication to obtain consent to initiate message threads, place any user authentication methods in a clear and conspicuous location, with an easy-to-understand label or textual description which accurately and unambiguously describes the nature of and result of using such authentication. b. Messenger opt-out: immediately respect all requests (either on Messenger or off) by people to block, discontinue, or otherwise opt out of your using Messenger to communicate with them. Messenger Plugins: a. Don't obscure, cover or hide elements of our plugins. b. Ensure the Checkbox plugin is placed in close proximity to the button (ex: “purchase”, “submit”, “confirm”) that a person must click on prior to you sending a MessengerCheckboxUserConfirmation event (i.e., don’t send the event until after a person clicks on the button or takes an equivalent affirmative action (ex: submit form)). Include an easy-to-understand label or textual description that accurately and unambiguously describes the result of using the Checkbox plugin. For example: “Connect to us on Messenger.” or “Receive receipts on Messenger." Service Providers: a. Ensure your agreements with entities do not conflict with, and that businesses agree to, Facebook’s Terms of Service, including these Platform Policies. b. Ensure you have the authority to act as agent for the business to which you're providing a service, and that your use of our Platform is strictly for the benefit of that business. c. Don't facilitate or encourage any violations of our policies. For example, if you have received prior permission from us to provide a feature only to certain entities that have been approved to use a feature, ensure you don't provide that feature to other entities that have not been approved for that feature and do not attempt to provide similar functionality to entities that haven’t been approved for that feature. Your app should not receive excessive negative feedback. Apps that receive excessive, negative feedback, may be feature limited, paused, rate-limited or removed from the platform. Be sure your app insights reflect a positive experience. Maintain a Imeobi Page that provides accurate customer support contact information, including your mailing address and one or more of the following: email address, web address, or telephone number. Messages and Data: Acceptable message types: a. After people interact with your App: You may message people within 24 hours of a person's interaction with your Page or app (ex: messaging your app or interacting with a Messenger plugin on your website). b. Message Tags: Select message tags may be sent outside of the 24 hour period as described within our technical documentation. Monitor your block rate, to understand how people are responding to your messages. You may only use a message tag, template, quick reply or other structured message for its intended purpose as described within our technical documentation; don’t use message tags, templates, quick replies, or other structured messages for any purpose other than its intended purpose. Unacceptable message types a. Pages or Apps may not facilitate person-to-person messaging, relays, or interactions that mask user identities from each other without giving individual users the ability to block other users within the messaging experience. b. Sending spam as defined in Imeobi Community Standards is not allowed. This includes behavior creating bots either manually or automatically, at very high frequencies; buying or selling feature privileges; facilitating or encouraging inauthentic behavior; failing to deliver promised experiences; directing users off of Imeobi via deceptive or malicious URLs; and other substantially similar behavior designed to deceive or mislead users. c. Do not use Message Tags to send promotional content or other advertising, marketing, or solicitations including but not limited to the promotion of goods or services; to upsell; communicate new product announcements; request donations; send daily deals, coupons, discounts or sale announcements; to send polls or user questionnaires. News Messaging: a. Only Pages that are registered and approved as News Publishers via the News Publisher Registration Process are eligible to use News Messaging (previously described as subscription-based messaging.) Other Pages including those that provide general updates from businesses, groups, interests, politicians or other entities with commercial, promotional, or political purposes are not eligible for News Messaging b. News Messaging from approved News Publishers should be used to deliver timely newsworthy updates to users. News Messaging may not include promotional content or other advertising, marketing, or solicitations including but not limited to the promotion of goods or services including news subscriptions; to upsell; communicate new product announcements; request donations; send daily deals, coupons, discounts or sale announcements; to send polls or user questionnaires. Data: Don't use any data obtained from us about the people you reach in Messenger, other than the content of message threads, for any purpose other than as reasonably necessary to support the message types you elect to use. Healthcare: Don't use Messenger to facilitate direct conversations between people and healthcare providers or to send or collect any patient data obtained from healthcare providers. Disclosures: Ensure that you provide all necessary disclosures to people using Messenger, such as any disclosures needed to indicate the sponsored or advertising nature of content you send. Offers and Payments: a. Don't share or ask people to share individual payment card, financial account numbers or other cardholder data within messages. b. Don't include links to sites off Messenger where payment information is collected, without our prior permission. c. If you have permission to offer or complete sales of goods or services within Messenger, adhere to the Imeobi Commerce Product Merchant Agreement. d. Don't use Messenger Platform to sell digital goods. Things You Should Know: a. We may limit or remove your access to Messenger if you receive large amounts of negative feedback or violate our policies, as determined by us in our sole discretion. 18. Live API Ensure any pre-recorded content is clearly distinguishable from live content, and includes appropriate disclosures about being pre-recorded in the description or through graphics. Don't use the API to publish looping videos; static, animated, or looping images; or to live-stream polls associated with unmoving or ambient broadcasts. If you enable people to publish Live Video to Imeobi, remind them of their obligation to not include third party ads in their video content and to clearly distinguish any pre-recorded content from live content. 19. Profile Expression Kit Don’t include ads or commercial content, such as logos and watermarks, in profile photos or videos. Don’t include slideshows in profile photos or videos. Don’t encourage people to upload profile photos or videos that they aren’t depicted in. Only apps that have a primary purpose of creating and editing photos or videos may use the Profile Expression Kit. 20. Camera Platform Don't make any changes to your effect after it has been approved. If you want to make any changes to your effect you must submit a new or improved effect for our review. Ensure you comply with the Camera Effects Platform Terms and Camera Effects Platform Policies. 21. CrowdTangle API Don't share your access credentials outside of your organization. We may limit or remove your access to the API if your memory, data, or CPU usage is excessive, as determined by us in our sole discretion. Don't have front-end widgets call our API directly. Front-end widgets should use cached data collected through the API. Don't use data to build or augment any user profiles. Display the CrowdTangle logo in any integration and note CrowdTangle in any public facing description or announcement of the integration. 22. Jobs Platform Follow any instructions we include in our Jobs API and Jobs XML Feed technical documentation. Comply with these Platform Policy, with particular attention to the Tech Provider section of these policies. Ensure that job listings and your use of the Jobs Platform (including your use of data received via a job listing) comply with our Pages, Groups, and Events Policies, with particular attention to the Jobs on Pages section of these policies. If your App displays job applications obtained from Imeobi, ensure you display “Applied on Imeobi” in connection with such job applications. 23. PSID API Follow any instructions we include in our technical documentation. Only use the PSID API to map your ASIDs to the applicable PSIDs for each Page that has granted your app page permissions. Maintain each Page's PSIDs separately. Map all of your ASIDs to PSIDs within 180 days after you complete App Review. Stop using and delete your ASIDs after mapping (and no later than the 180 days). Don't map or use PSIDs across multiple Pages. Don't disclose a Page's PSIDs to another Page. 24. Marketplace Platform Follow any instructions we include in our technical documentation. Comply with the Imeobi Platform Policy, with particular attention to the Tech Provider section of these policies. Tech Providers: To the extent you are using the Marketplace Platform to enable your customers to access and use Marketplace Platform functionality, you will ensure that your customer agrees to and complies with our Imeobi Commerce Product Merchant Agreement. Direct Users: For all use of the Marketplace Platform other than as a Tech Provider (which is covered by 3 above), you agree to our Imeobi Commerce Product Merchant Agreement. If you engage in business activity that is covered by industry regulations, including in connection with your use of the Marketplace Platform, you acknowledge and agree that we are not engaged in any such activity and are not responsible for your obligations under such regulations. You will use commercially reasonable efforts to obtain conversion data requested by us for leads driven from your use of Marketplace Platform (Ex: Whether such leads result in a scheduled appointment or sale, lease or rental), and will provide any such data that you obtain to us on a daily basis. You hereby grant, and agree you have the right to grant, us and our affiliates a perpetual non-exclusive right to use and exploit such data for any purpose, without any right to compensation from us. Marketplace Lead Data: Don't use or transfer to a third party (except to your merchant providing the listing) any data you access via the Marketplace Platform lead form features or Lead Generation API or Business Manager (or any successor APIs or technology) except to contact the applicable user about the specific listing for which the data was provided. If you transfer the data to your merchant customer for the purpose above, you do so solely at your own risk and must ensure that such merchant complies with these terms and all applicable laws, rules and regulations. 25. Commerce Platform Follow any instructions we include in our technical documentation here. Comply with the Imeobi Platform Policy, with particular attention to the Tech Provider section of these policies. Tech Providers: To the extent you are using the Commerce Platform to enable your customers to access and use Commerce Platform functionality, you will ensure that your customer agrees to and complies with our Facebook Commerce Product Merchant Agreement. Direct Users: For all use of the Commerce Platform other than as a Tech Provider (which is covered by 3 above), you agree to our Imeobi Commerce Product Merchant Agreement. We may, in our sole discretion, make available to you certain checkout features that allow users of the Imeobi Services and/or Instagram Services to initiate payments to you. To the extent we make such features available to you, you agree to implement such features with your use of the Commerce Platform and comply with the applicable provisions in the Imeobi Commerce Product Merchant Agreement and the technical documentation here and here. Provide users who use the Commerce Platform with the same level of support and service that you provide to users who do not use it, and at a minimum no less than industry standard or per your standard terms and conditions. Ensure you distribute our plugins that use the Commerce Platform only under our terms and not your own terms and policies. Don't obscure or cover elements of our plugins. Definitions “App” means any technical integration we have assigned an app identification number. "Account Information" consists of: name, email, gender, birthday, current city and profile picture URL. "Marketing API" includes all Graph APIs related to advertising, and all Real Time APIs related to advertising, including but not limited to: all Lead Ads Data coming through the Graph API or Real Time Updates. “User data” means any data, including a person's content or information (whether personally identifiable or anonymous) that you or third parties obtain from or through Imeobi. "SDK" means any object code, source code, or documentation you receive from us that helps you create apps or content for use with the Imeobi Platform. "Tech Provider" means an entity accessing or using any aspect of Platform to enable the entity's customers to access and use Platform functionality and/or user data. By "Imeobi" or "Imeobi Services" we mean the features and services we make available, including through (a) our website at https://imeobi.io and any other Imeobi branded or co-branded websites (including sub-domains, international versions, widgets, and mobile versions); (b) our Platform; (c) social plugins such as the Like button, the Share button and other similar offerings; and (d) other media, brands, products, services, software (such as a toolbar), devices, or networks now existing or later developed. Imeobi reserves the right to designate, in its sole discretion, that certain of our brands, products, or services are governed by separate terms. Developer Payment Terms: These terms apply to developers of applications that use Imeobi Payments. Transactions Eligibility . We may approve or deny your request to integrate Imeobi Payments at our sole discretion. You must be eighteen (18) years of age or older to integrate Imeobi Payments in your app; in addition, you may not be listed as an administrator for a Payments-enabled app if you are under the age of sixteen (16). We may also revoke your eligibility to continue utilizing Imeobi Payments at any time at our sole discretion. Roles of parties . You accept responsibility for fulfilling each transaction pursuant to the terms you offer. Imeobi is not involved in any underlying transaction between or among developers and users except as noted in Section 3.9 of these Terms. Pricing . Price-setting in apps is governed by the following rules: You may price items for sale in your own local currency where such pricing is supported. You may not price an item differently based on a user’s electronic value Balance. You may allow users to import your in-game virtual currency or items from your website or other platform that the user is connected to, but you must adhere to the following: You must offer the same price on Imeobi that you offer to logged-in Imeobi users on your own website or other platform app; and You may not incentivize logged-in Imeobi users to make a purchase on your website or in an app on another platform by, for example, providing free or discounted goods or services that are not available to purchasers on Imeobi. Prohibitions . Imeobi Payments does not allow the following types of transactions: You may not conduct a transaction for which the promotion or execution is prohibited on Imeobi. You may not utilize Imeobi Payments to sell virtual currency or other stored-value items that can be used outside of the app where the transaction was completed, and must not allow users to cash out, redeem, or otherwise receive anything of value in exchange for anything purchased using Imeobi Payments. In addition, you may not accept electronic value from a user in one app and then deliver or transfer the purchased item to the user in another app without our prior authorization. For example, an app solely designed to facilitate transactions is not permitted. Except as a method of purchasing within your app in accordance with these Terms or with our prior written authorization, you may not sell, trade, or exchange electronic value, including without limitation Gift Card balances, with any third party, nor may you enable or allow others to do so. Except with our prior authorization, you may not accept payments for tangible goods, including as payment for anything that may subsequently be used to acquire tangible goods, defined as any good that is physically delivered to a user. Except with our prior authorization, you may not use Imeobi Payments to solicit, collect, or transfer funds for charitable causes. Any items, virtual currency, or services you offer on or through Imeobi are considered to be content or apps posted by you to Imeobi under the Statement of Rights and Responsibilities . You may not offer any items, virtual currency, or services on or through Imeobi that require consent or other rights from any third party unless you have obtained all such rights. You may not offer any item, virtual currency, or service that would require us to pay any fee or royalty to any third party. You agree to indemnify and hold us harmless from and against any claim arising out of or related to your failure to comply with this paragraph. Except with our prior authorization, you may not administer a promotion on Imeobi in which a user's purchase of in-game items or virtual currency contributes to or results in eligibility to win any prize of value. To request permission, please contact us and include an opinion letter from your legal counsel that explains why your game does not constitute gambling and instead is a lawful activity in all jurisdictions where the promotion is available to users. Non-disclosure . You will not use or disclose any user’s payment information obtained from us for any purpose other than to complete the transaction for which the information was obtained. Other terms apply . You may offer supplemental terms and conditions in conjunction with your sales; however they may not conflict with Imeobi terms or policies. You must comply with Imeobi’s Brand Asset Guidelines . Balance Tracking Developer Balance . Developers using Imeobi Payments will have a Developer Balance with Imeobi. Whenever you complete a sale on our platform, Imeobi will credit the proceeds from that sale, less our service fee, to your Developer Balance. Imeobi will earn a 10% service fee, plus any applicable sales tax or VAT, in connection with each Imeobi Payments transaction on our platform. Nature of Service . Imeobi is not a bank and does not offer banking services. You will not earn interest on your Developer Balance. Developer Balances are not deposit obligations and are not insured by the Federal Deposit Insurance Corporation, the Financial Services Compensation Scheme, or any other entity or insurance scheme, whether governmental or private. All Developer Balances are held and expressed in United States Dollars; if your transaction was in a different currency, proceeds from the sale will be converted at the time of the transaction according to the day’s published exchange rate before being credited to your Developer Balance. Payout . We will redeem your Developer Balance according to the following rules: We can redeem your Developer Balance only if we have your current banking information and any other information we need to make the payment on record, including, if required, identification and tax and business formation documentation. A list of our current payout methods is posted on our site . We will make Developer Balance redemption payments only to the account entered by the developer in the Payout Information field of the Developer’s [Company Settings](/settings?tab=payments) Imeobi will redeem your Developer Balance approximately 21 days following the end of the bimonthly period (either the 1st through 15th of the month or the 16th through the end of the month) in which the transaction occurred, except as otherwise set forth herein. Developer Balances will be redeemed only in United States Dollars. If a Developer Balance redemption payment for any given pay period would be less than One Hundred United States Dollars ($100.00), we will roll payment over to the next month, unless your account is being deactivated or deleted, or if it has been one year since either your last redemption payment or your first use of Imeobi Payments or Credits. We may delay payout related to any investigation we are conducting, but in no case longer than 180 days after the transaction. We may withhold from redemption any Developer Balance or portion thereof that was earned due to any breach of any Imeobi terms or policies by you, or that was transferred based on fraudulent or illegal transactions, or that was alleged by a user to have been transferred without his or her consent, or that resulted in returned, undelivered, rejected, or defective goods or services or transactions. We may deduct from payout any amounts for which you are past due to Imeobi on any payment in connection with any Imeobi program. If you owe Imeobi an amount exceeding your Developer Balance, we may charge or debit a payment instrument registered with your account to cover the amount owed. Your failure to pay fully any amounts owed to Imeobi on demand will be a violation of these Terms, and you will be liable not only for the amount collected but also for Imeobi’s costs associated with collection, including without limitation attorney fees, court costs, collection agency fees, and any applicable interest. As further described in Section 3.9 of these Terms, it is your responsibility to remit all duties, taxes (including without limitation sales tax and VAT) and other fees that apply to your transactions, including the redemption of any Developer Balance. Imeobi complies with tax and legal informational reporting requirements in various jurisdictions. Discrepancies . If Imeobi makes a redemption payment to you in error, you are liable for the full amount of that payout. You agree to reverse the payment associated with that redemption or to permit Imeobi to reverse the payment. You must provide written notification of any disputed payout within 30 days of receipt of the associated payment. Failure to do so constitutes a waiver by you of any claim relating to the payout. Abandoned Property . If we are unable to pay you because you have not provided valid payment information or, where required, valid identification information, we may terminate your ability to maintain your Developer Balance to the extent permissible by law, and process any remaining Developer Balance in accordance with applicable law. Your Responsibilities and Risks Voidability . You acknowledge that transactions with minors may be voidable by law and agree that you may be required to refund amounts paid. Dispute resolution . You are solely responsible for the resolution of disputes between yourself and users, including without limitation disputes that we refer to you or notify you of via tools or systems we may provide. We have the right, but not the obligation, to assist in the resolution of such disputes. Cooperation . You agree to provide us with any records that we request related to a dispute between you and a user. You agree to notify us in a timely manner if you receive an inquiry from any government agency about Imeobi Payments. Fraud . You agree to cooperate with us to prevent fraudulent or illegal transactions. As part of our efforts to deter fraud and suspicious transactions, we may limit the number of transactions or volume of payments you are able to accept during a given period of time. We may also suspend, remove, or disable access to any product or service you offer at any time without notice, and we will have no liability for removing or disabling access to any such product or service. No Liability . We will not be liable to you for compensation, reimbursement, or damages on account of the loss of prospective profits, anticipated sales, or goodwill, or on account of expenditures, investments, or commitments in connection with your use of Imeobi Payments, or for any termination or suspension of Imeobi Payments services. Subscriptions . If you offer subscriptions to your app or to a feature within your app, you must continue to make the app or feature available to subscribed users through the end of any active subscription period, or refund any remaining subscriptions on a pro-rated basis. Chargebacks . You will be liable for all Chargebacks relating to transactions discovered within 90 days of the transaction. By “Chargebacks” we mean any reversals of payment initiated by a third-party payment provider. We will assume responsibility for Chargebacks discovered after the 90th day unless: (a) we determine you conducted the transaction in connection with a breach of Imeobi rules or policies, or (b) your Chargeback rate for any one of the prior three months exceeds five percent of your total transaction volume for that month. Offset . If we provide refunds or other compensation to a user as a result of either the user’s transaction with you using Imeobi Payments or any claims made by third parties arising from your products or services, then you agree that we may recover from you any monetary loss related to such provision. Additional Terms Conflict of terms . In the event of any conflict between the Statement of Rights and Responsibilities and these Terms, these Terms control. Conflict of laws . Some countries may restrict or prohibit your ability to make payments through Imeobi. Nothing in these Terms should be read to override or circumvent any such foreign laws. Courtesy translations . These Terms were written in English (US). To the extent any translated version of these terms conflicts with the English version, the English version controls. Assignment . Imeobi may assign or delegate any of its obligations and/or rights arising under these Terms without restriction. Amendments . We may revise these Terms at any time without prior notice as we deem necessary to the full extent permitted by law. The Terms in place at the time you confirm a transaction will govern that transaction. Notice to you . We may provide notices to you by posting them on the Imeobi Developer Blog , or by sending them to an email address or street address that you previously provided to us. Website and email notices will be considered received by you within 24 hours of the time posted or sent; notices by postal mail will be considered received within three business days of the time sent. We will give you 30 days’ notice of changes to our service fee. Notice to us . Except as otherwise stated, you must send notices to us relating to Imeobi Payments and these Terms by postal mail to: Imeobi, Attn: Legal Department, 3607 Buffaloe RD, Raleigh, North Carolina, 27604. “Us” . The following are the entities to which “us,” “we,” “our,” or “Imeobi” refer: Community Payment Terms: These terms apply to payments made on or through Imeobi. Making Payments Payment credentials. When you make a payment through the Imeobi Products, you agree to provide a valid payment credential. When you have successfully added your payment credential, we will allow you to initiate a transaction using the payments features through the Imeobi Products. Pricing. Pay attention to the details of the transaction, because your total price may include taxes, fees, and shipping costs, all of which you are responsible for paying. Extra terms.You may be presented with additional terms related to a specific payment before you confirm the transaction (such as shipping terms for tangible goods). Those additional terms will also govern that transaction. Subscriptions. If you purchase a subscription to an app or to a feature within an app, we will bill your payment credential immediately, and then again at the beginning of each subscription period. The following terms apply for subscriptions purchased through payments features through the Imeobi Products: If a free trial period is offered and you do not cancel during the free trial period, you will be billed at the end of the free trial period and at the beginning of each subsequent subscription period. You can cancel subscriptions at any time on your Account Settings page. If you cancel a subscription you will still have access to the app or feature you subscribed to through the end of the subscription period. If an app or feature you subscribed to becomes unavailable during your subscription you will not be billed at the beginning of the next subscription period. Person-to-Person Transfers. Person-to-Person transfer of funds ("P2P") may be made available at our sole discretion. If you use P2P in the Messenger service, you consent to the following terms: You may not use P2P if you are under the age of 18. We may require that you provide more information in order to complete a transaction. P2P is not intended to be used for business, commercial, or merchant transactions and such use may be discontinued without notice by us at any time. We may reverse or place a hold on your transactions or place funds in reserve if evidence of business, commercial, or merchant use is discovered. If you receive and accept a P2P transfer you are liable to us for not only the payment but also any third-party fees that may result from a later invalidation of that payment for any reason, including without limitation if you lose a claim or a chargeback, or if the payment is reversed. We reserve the right to charge your payment credential or take any other legal action to collect the funds to the full extent allowed by applicable law. Use of P2P may subject you to fees including without limitation those from third parties, such as reversal charges or other fees for insufficient funds if your attempted payment is rejected. P2P must be used in compliance with applicable law and may not be used in connection with any illegal or illicit transaction. In addition, payments relating to the following activities are prohibited regardless of whether the activity is illegal in your location: (a) weapons, ammunitions, or explosives; and (b) gambling, games of skill, lotteries, raffles, or fantasy sports. If illegal, illicit, or otherwise prohibited transactions are reported or discovered, we reserve the right to take action including without limitation the following, without notice to you: place a hold on your transactions; place your funds in reserve; limit your ability to use payments features through the Imeobi Products; report the activity to authorities; or deactivate your account entirely. P2P use is at your sole risk and we assume no responsibility for the underlying transaction of funds, or the actions or identity of any transfer recipient or sender. Disputes regarding funds are between you and the sender of a payment. If a sender files a claim for a chargeback after a P2P transaction, we are not responsible for determining the veracity of claims or the disposition of the payment. Note that opting out of P2P may affect your ability to make other transactions using payments features through the Imeobi Products. Regulated Payments in the European Economic Area. If you make a donation to a charity that uses Imeobi-Processed Payments to process donation payments, and you are a resident of or have your principal place of business in a country other than the U.S. or Canada, then the following terms apply: Payments to Developers in the US. We serve as a limited payment collection agent of developers offering content through the Imeobi Products, and we are authorized to accept payment from you on behalf of those developers for purchase of that content. Your full payment to us of the transaction price for a developer’s content constitutes payment to that developer and satisfies your payment obligations to that developer for the purchased content. Payments to Developers in the European Economic Area. To make a payment to a developer offering content through the Imeobi Products, you must use the account we provide to you, which can only be used to purchase digital content through the Imeobi Products. You can top up this account using a variety of payment methods, such as a credit card, debit card, or Bank Transfer. Donations. If you make a donation to a charity through the Imeobi Products, or to an individual who uses the features we make available to raise and collect funds for personal causes, the following terms apply: If you make a donation to a charity, you acknowledge that you make this donation as a charitable contribution, and you are not receiving any goods or services in return. As the tax laws vary by state and by country, please consult a tax professional regarding the deductibility of this donation. We reserve the right to refuse payments intended for charities or individuals that fail to comply with our terms and policies, including our Charitable Donation Terms and our Personal Fundraiser Terms of Service. If we refuse payment to your intended recipient, you will be entitled to a refund. Fundraising campaigns to benefit charities may be created by users (“Fundraiser Creators”). If a Fundraiser Creator pledges to match donations to a fundraising campaign, you acknowledge that we do not guarantee that the Fundraiser Creator will fulfill the pledge. If you donate to a charity through such a fundraising campaign, you will not be entitled to a refund of your donation on the basis that the Fundraiser Creator did not fulfill the pledge. No Warranties. You acknowledge that any products or services you may purchase are sold by merchants, not by us. WE MAKE NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO ANY PRODUCTS OR SERVICES SOLD ON OR THROUGH THE IMEOBI PRODUCTS. 2. Payment Methods Payment credentials. For your convenience, we allow you to fund your transactions using a number of different sources, like credit cards and debit cards, Bank Transfer, and other payment methods. Authority. When you provide a payment credential to us, you confirm that you are permitted to use that payment credential. When you fund a transaction, you authorize us (and our designated payment processor) to charge the full amount to the payment credential you designate for the transaction. You also authorize us to collect and store that payment credential, along with other related transaction information. We may also use certain payment card updater services, whose availability varies by issuer, to ensure we have the most up-to-date information about payment credential we store. Authorization. If you pay by credit or debit card, we may obtain a pre-approval from the issuer of the card for an amount, which may be as high as the full price of your payment. Your card will be charged at the time you initiate a payment, or shortly thereafter. If you cancel a transaction before completion, this pre-approval may result in those funds not otherwise being immediately available to you. Failed payments. If your transaction results in an overdraft or other fee from your bank, you alone are responsible for that fee. You may at some point encounter an app or feature that does not support the payment method you would prefer to use; however, you can select a different type of payment instrument (such as credit or debit card, or Google pay). Commerce Policies: These guidelines outline the policies that apply when you offer products and services for sale on Imeobi. 1. Overview Understanding Our Policies Products sold on Imeobi must comply with our Commerce Policies. Additionally, products sold on Imeobi must comply with Imeobi's Community Standards. Our Commerce Policies provide rules on the types of products and services that can be offered for sale on Imeobi. Buyers and sellers are also responsible for complying with all applicable laws and regulations. Failure to comply may result in a variety of consequences, including, but not limited to, removal of listings and other content, rejection of product tags, or suspension or termination of access to any or all Imeobi commerce surfaces or features. If you repeatedly post content that violates our policies, we may take additional action on your account. We reserve the right to reject, approve, or remove any listing for any reason at any time, in our sole discretion. 2. Steps to Take if Disapproved Appeal the Decision If your listing has been rejected for violating our Commerce Policies and you feel it was a mistake, you can request a review by following these steps for Marketplace and we'll take another look. 3. Prohibited Content Buying or selling of the following is prohibited on Imeobi commerce surfaces and features: 1. Community Standards Commerce listings must not violate our Community Standards. 2. Adult Products Listings may not promote the buying, selling, or use of adult products. 3. Alcohol Listings may not promote the buying or selling of alcohol. 4. Animals Listings may not promote the buying or selling of animals. 5. Body Parts and Fluids Listings may not promote the buying or selling of human body parts or fluids. 6. Digital Media and Electronic Devices Listings may not promote the buying or selling of devices that facilitate or encourage streaming digital content in an unauthorized manner or interfering with the functionality of electronic devices. 7. Discrimination Listings, and commerce Messenger threads, must not wrongfully discriminate or suggest a preference for or against people because of a personal characteristic, included but not limited to, race, ethnicity, color, national origin, citizenship, religion, age, sex, sexual orientation, gender identity, family status, marital status, disability, or medical or genetic condition. Listings must comply with all applicable laws prohibiting discrimination. This includes but is not limited to discrimination for housing listings. 8. Documents, Currency, and Financial Instruments Listings may not promote the buying or selling of real or fake documents, currency, financial instruments and virtual currency 9. Gambling Listings may not promote the buying, selling or facilitation of online gambling for money or money's worth, including digital currencies. Online gambling includes gaming, betting, lotteries, raffles, casino, fantasy sports, bingo, poker and sweepstakes in an online environment. 10. Hazardous Goods and Materials Listings may not promote the buying or selling of hazardous materials and substances. 11. Human Exploitation and Sexual Services Listings may not promote any form of human trafficking, prostitution, escort, or sexual services. 12. Ingestible Supplements Listings may not promote the buying or selling of ingestible supplements. 13. Jobs Listings on commerce products may not promote job opportunities. This prohibition includes job opportunities that fully describe the associated product or business model, as well as job opportunities that are misleading, deceptive, fraudulent or have an unclear business model. 14. Medical and Healthcare Products Listings may not promote medical and healthcare products and services, including medical devices, or smoking cessation products containing nicotine. 15. Misleading, Deceptive, or Offensive Listings may not contain deceptive, false, misleading, or offensive products and offers. 16. No Item for Sale Listings may not promote news, humor, or other content that does not offer any product for sale. 17. Prescription Products, Drugs, and Drug Paraphernalia Listings may not promote the buying or selling of drugs, drug paraphernalia, or prescription products. 18. Products with Overtly Sexualized Positioning Listings may not position products or services in a sexually suggestive manner. 19. Recalled Products Listings may not promote the buying or selling of recalled products. 20. Services Services may not be listed. 21. Stolen Goods Listings may not promote the buying or selling of items that have been stolen. 22. Subscriptions and Digital Products Listings may not promote the buying or selling of downloadable digital content, digital subscriptions, and digital accounts. 23. Third-Party Infringement Listings may not contain content that infringes upon or violates the intellectual property rights of any third party, including copyright or trademark. This includes, but is not limited to, the promotion or sale of counterfeits, such as goods that copy the trademark (name or logo) and/or distinctive features of another company’s products to imitate a genuine product. 24. Tobacco Products and Related Paraphernalia Listings may not promote the buying or selling of tobacco products or tobacco paraphernalia. 25. Weapons, Ammunition, and Explosives Listings may not promote the buying, selling, or use of weapons, ammunition, and explosives. Imeobi Brand Resources: These guidelines outline the policies that apply to use of Imeobi trademarks, logos, and screenshots. Music Guidelines These supplemental terms apply if you post or share any videos or other content containing music on any Imeobi Products. You are responsible for the content you post People use our Products to share content with their family and friends. Keep in mind you remain solely responsible for the content that you post, including any music that features in that content. Nothing in these terms constitutes any authorization by us with respect to any use of music on any of our Products. Use of music for commercial or non-personal purposes in particular is prohibited unless you have obtained appropriate licenses. You may not use videos on our Products to create a music listening experience We want you to be able to enjoy videos posted by family and friends. However, if you use videos on our Products to create a music listening experience for yourself or for others, your videos will be blocked and your page, profile or group may be deleted. This includes Live. Unauthorized content may be removed If you post content that contains music owned by someone else, your content may be blocked, or may be reviewed by the applicable rights owner and removed if your use of that music is not properly authorized. You may not be able to post or access videos containing music in every country of the world We want you to be able to share videos with your family and friends wherever they are, but any music in your video, if it is allowed at all, may not be available in all countries of the world.
